DIAL PAGE ANNOUNCES INTENT TO MERGE WITH TRANSIT COMMUNICATIONS AND ADVANCED MOBILECOMM OF NORTH CAROLINA

 GREENVILLE, S.C., Aug. 17 /PRNewswire/ -- Dial Page, Inc. (NASDAQ-NMS: DPGE), announced today that it has entered into a letter of intent to merge with Transit Communications Corporation and Advanced MobileComm of North Carolina, Inc. On consummation of the merger, it is expected that Dial Page's digital specialized mobile radio ("SMR") business would encompass in excess of 30 million pops in the Southeast and be the third largest in the United States. The combination would make Dial Page the dominant SMR operator in the Southeast.
 Dial Page, which also provides paging and messaging services in nine Southeastern states, has announced plans to construct and operate an SMR network in the region. Transit has a dominant SMR channel position in Atlanta and is a major SMR operator serving eight Southeastern states. Advanced MobileComm of North Carolina is a leading SMR provider in North Carolina.
 Shareholders of Transit and Advanced MobileComm of North Carolina would receive stock of Dial Page in tax-free reorganizations. After the mergers, Transit shareholders would hold approximately 42 percent of the outstanding common stock of Dial Page on a fully diluted basis as well as warrants to acquire approximately an additional 1 percent. Advanced MobileComm of North Carolina shareholders would hold approximately 6 percent of Dial Page's fully diluted outstanding common stock. The shares would be privately placed and subject to registration rights. Transit and Advanced MobileComm would have proportional representation on Dial Page's board of directors.
 Consummation of the mergers would be subject to execution of a definitive agreement, completion of due diligence reviews, FCC and other regulatory approvals, as well as approval by the boards of directors and shareholders of the parties and the satisfaction of a number of other conditions.
