DESTEC TO DEVELOP 400 MEGAWATT COGENERATION FACILITY IN THE NETHERLANDS

 HOUSTON, Nov. 10 /PRNewswire/ -- Destec Energy, Inc. (NYSE: ENG), a leading independent power producer based in Houston, Texas, has signed a letter of intent with N.V. Delta Nutsbedrijven (Deltan), Dow Benelux N.V. and Provinciale Noordbrabantse Energie Maatschappij (PNEM) to jointly develop a natural gas-fueled, 400 megawatt cogeneration plant at a Dow site in Terneuzen, The Netherlands.
 Cogeneration technology utilizes one fuel source to generate both steam and electricity, resulting in a high energy conversion efficiency. The new plant will meet the latest Dutch emission regulations and an environmental assessment will be performed.
 The cogeneration plant will generate more than one million pounds per hour of process steam and approximately 400 megawatts of electricity. Dow will purchase all of the steam and about 25 percent of the electricity. The balance of the electricity will be purchased by Deltan and PNEM. This will be distributed through the Deltan power network to Zeeuws-Vlaanderen and other parts of the country. Arrangements are being made with N.V. SEP (the organization of Dutch power producers) regarding technical coordination with the natural power grid.
 A joint venture among equity participants Destec (50 percent), Deltan (25 percent) and PNEM (25 percent) will construct and operate the cogeneration plant. Construction is scheduled to begin in 1995 and commercial operation to commence in 1997. The total cost of the project will be approximately $400 million.
 Destec is a major independent power company that develops, builds, owns and operates gas-fired power generation facilities that produce and sell electrical and thermal energy, as well as facilities that manufacture synthetic fuel gas for use in energy production. Destec has interests in 14 operating projects with a total rated equivalent capacity of approximately 1,480 megawatts of electricity and over two million pounds per hour of steam. Destec currently has four facilities, representing approximately 1,200 megawatts of equivalent capacity, under construction. In addition, Destec currently markets more than 425 megawatts of electricity cogenerated by The Dow Chemical Company.
 Deltan and PNEM are regional electricity distribution companies in The Netherlands; Deltan is headquartered in Middelburg and PNEM in 's-Hertogenbosch. Dow is a global supplier of chemicals and performance products, plastics, hydrocarbons and consumer specialties.
