DENTO-MED'S DIRECTORS RE-ELECTED AND EXTENSION TO VOTE ON PREFERRED STOCK AND STOCK OPTION PLAN GRANTED AT ANNUAL MEETING

BOCA RATON, Fla., Nov. 20 ~PRNewswire~ -- The shareholders of Dento-Med Industries, Inc. (NASDAQ: DTMD), at the company's annual meeting yesterday, approved re-election of the company's entire board of directors. In addition, the company extended the time, until the close of business on Dec. 18, 1992, for stockholders to vote on the authorization to create preferred stock, and to adopt Dento-Med's 1992 Stock Option Plan.
Re-elected to the board were chairman Harvey Tauman, Dento-Med's CEO, president and treasurer; director Chaudhury Prasad, vice president and secretary; and outside directors Frank Fiur, Dr. Samuel Leb, Nestor Cardero, C.P.A., and corporate counsel Joseph Caccamo. The shareholders also ratified the selection by the board of directors of Ernst & Young as Dento-Med's independent certified public accountants.
A motion was passed to extend for 30 days the period in which shareholders could vote whether to amend the company's Restated Certificate of Incorporation to authorize 1 million shares of preferred stock, and to adopt the company's 1992 Stock Option Plan. A majority of the total outstanding shares of the company is required to approve these proposals. At the annual meeting, approximately 38 percent of the 19,072,056 shares outstanding had voted in support of the preferred stock and stock option plans, and approximately 5 percent had voted against the proposals. Voting was extended to allow brokerage firms and Dento-Med's European shareholders adequate time to return their proxies.
Dento-Med holds the patents for Hydron(R) polymers in the oral health and consumer products fields, and has developed a means to suspend them in emulsified compositions that retain natural moisture but are water insoluable, air permeable, non-greasy and non-oily. This makes possible their use in a variety of personal care and cosmetic products, planned for introduction through 1993. Dento-Med's Hydron Plus (TM) Hand & Body Moisturizer is currently advertised nationally in television commercials featuring actress Cheryl Ladd.
