 DDB NEEDHAM AND TRACY-LOCKE MERGE
 NEW YORK, May 5 /PRNewswire/ -- Tracy-Locke, Inc. will become part


of the DDB Needham Worldwide network, announced Keith Reinhard, chairman and CEO of DDB Needham, and Mike Rawlings, CEO of Tracy-Locke, today. The merger of the two Omnicom Group agencies is effective immediately.
 Tracy-Locke will retain its name adding the phrase, "A DDB Needham Agency," and will report to John Bernbach, president of DDB Needham Worldwide, and Keith Reinhard in New York.
 Bernbach said, "This joining together of two agencies now gives our network a strong presence in the headquarters city of three major DDB Needham clients: American Airlines, GTE and Frito-Lay. Additionally, it provides Tracy-Locke's blue-chip clients with expanded resources including immediate access to a strong international network."
 Mike Rawlings stated that, "Throughout its 79-year history, Tracy- Locke has been highly successful in proving clients with quality advertising and marketing services. The agency's growth has been impressive, particularly in the last ten years, Joining forces with DDB Needhaadditional resources and offers our employees greater opportunities."
 According to Keith Reinhard, the possibility of moving Tracy-Locke into the DDB Needham network is one that both agencies have pursued over recent months. "Within the Omnicom group, we got to know each other very well and realized how well our two companies could complement each other. We felt that this merger would be in both our best interests."
 Altschiller Reitzfeld in New York will remain an independent agency within the Omnicom network. David Altschiller, chairman and CEO of Altschiller Reitzfeld, said, "It is our feeling that both we and our clients are best served by remaining independent. We have taken years to develop a voice of our own, and a reputation of our own. Both we and Omnicom agree we would be ill-advised to change it."
 Most of Tracy-Lock's accounts in Los Angeles will be integrated into the operations of DDB Needham West. Tracy-Locke will keep the Pepsi field service office open separately to service the Pepsi-West accounts.
 Tracy-Locke, Inc., with 1991 billings of $395 million, has operated full-service offices in Dallas, Los Angeles and New York, and field offices in 27 U.S. cities. In addition, it operates separate business units for public relations, direct marketing and promotional and regional marketing.
 DDB Needham Worldwide is the fifth largest advertising agency in the U.S. and operates in 114 offices in 55 counties. The agency's worldwide billings for 1991 were more than $5.0 billion.
 Omnicom Group is the fourth largest group of advertising and communications companies.
