Crystallize and Tickmark Solutions Announce Merger; Merged Company Focuses on Applications Management.

Crystallize, Inc., and Tickmark Solutions, Inc., both leading providers of Oracle Applications management software for the Fortune 1000, today announced the merger of the two companies.

The combined new company provides a comprehensive suite of software products that allow the users of Oracle eBusiness Applications to better manage their applications on a daily basis, significantly extend their system's functionality, and adapt to changing business conditions by automating traditionally manual tasks. Over the coming months, the two companies will merge all aspects of their operations, and will announce a new company name reflecting their shared vision and broader product line in October 2002.

Robert Markese, CEO of Crystallize, will become the CEO of the merged company, whose headquarters will remain in Ann Arbor, MI. Mark Nelson, CEO and a co-founder of Tickmark, will manage business strategy and merger integration. "While companies have long recognized the need for software products to manage their databases, our mission is to provide an analogous suite of products to manage their enterprise applications," Nelson said. "Companies rely on these large enterprise applications to run every critical aspect of their core business, and our products are designed to enhance their performance, and to streamline, automate, and manage their complexity."

The merger marks a significant milestone in a long-term strategy to systematically build the category leader in the newly defined market for application management software.

The combined company will continue operating from both its New York and Ann Arbor, MI headquarters. Additionally, the new company will leverage an expanded network of regional sales offices to enhance customer service and support.

The new company's suite of enterprise application management software includes Tickmark Setup Reporter, to provide version control for configuration setups; FlexChanger, to change the chart of accounts structure; DataCleanser, to identify and eliminate duplicate information; DownSizer, to create smaller test environments and minimize storage requirements; and XpressArchiver, to archive and purge old transactions.
