Corporate changes: the property/casualty industry continued to consolidate, as state regulators kept a close watch on companies' viability and mergers and acquisitions maintained a healthy pace in 2001. (Property/Casualty).

The number of state actions against property/casualty insurance companies has nearly tripled in three years. The 35 state actions taken in 2001 is an increase over the 25 in 2000 and a substantial change from the 12 actions taken against property/casualty insurers in 1999.

This year's corporate changes study, based on filings and A.M. Best Co. data, shows 19 new property/casualty insurers entered the market in 2001. There were 54 acquisitions or ownership changes, 30 mergers and 85 name changes.

All changes occurred in 2001, unless otherwise indicated. Locations in parentheses indicate a company's domicile when it differs from the location of the company's headquarters.

Acquisitions & Ownership Changes

Acceptance Casualty Insurance Co., Omaha, Neb. On May 1, McM Corp., an insurance holding company, purchased Acceptance Indemnity Insurance Co. and Acceptance Casualty Insurance Co. as clean shells from Acceptance Insurance Cos. Inc.

Alliance Assurance Company of America, New York. On Jan. 23, the company was sold as a shell to Eastern Casualty Co. from Globe Indemnity Co.

American General Indemnity Co. (Omaha, Neb.), Schaumburg, Ill. On Aug. 29, the company and its affiliates, American General Property Insurance, American General Property Insurance of Florida and Yosemite Insurance, were acquired by American International Group Inc.

American Independent Insurance Co., Plymouth Meeting, Pa. Effective March 2, the company was acquired by Arch Capital Group Inc.

American National County Mutual Insurance Co., Galveston, Texas. On Dec. 31, the company entered into a managerial contract agreement with American National Insurance Co.

American Vehicle Insurance Co., Plantation, Fla. Effective Aug. 30, all outstanding shares of the company were acquired by 21st Century Holding Co.

American West Insurance Co., Fargo, N.D. Effective March 30, the company was acquired as a shell from W.R. Berkley Corp. by Nordak Mutual Insurance Co.

Anza Insurance Co., Santa Barbara, Calif. On March 1, all of the outstanding shares of the company were purchased by Fidelity National Title Insurance Co. On June 14, the name was changed to Fidelity National Insurance Co.

Asset Guaranty Insurance Co., New York. On Feb. 28, Radian Group Inc., the parent of Radian Guaranty Inc., acquired Enhance Financial Services Group Inc., the parent company of Asset Guaranty Insurance Co.

Atlantic Alliance Fidelity & Surety Co., Mount Laurel, NJ. On April 23, the company was acquired by the Guarantee Company of North America, a Canadian property/casualty company, from Alliance Surety Holdings Inc., whose ultimate parent is Queensway Financial Holdings Ltd.

Atlantic Preferred Insurance Co., Tampa, Fla. On Jan. 5, the company was acquired by Poe Insurance Group from Atlantic Preferred Holding Co.

Caribbean Alliance Insurance Co., San Juan, Puerto Rico. On Jan. 1, the company was acquired by Universal Insurance Co. from Nationwide Mutual.

C-F Insurance Co. (Glendale, Calif.), NewYork. On Sept. 1, the company, formerly known as Cal-Farm Insurance Co., was purchased from the California Department of Insurance by Folksamerica Reinsurance Co. The name of the company was changed at that time.

CGU Insurance Co., Philadelphia. Effective June 1, the acquisition of all of the U.S. property/casualty members of the CGU Group by White Mountains Insurance Group, Hamilton, Bermuda, was completed. Not included in the acquisition was CGU Insurance Company of Canada.

Colony Insurance Co., Richmond, Va. On Aug. 23, Argonaut Group Inc. completed the acquisition of Front Royal Inc., the ultimate parent of Colony Insurance Co., Rockwood Casualty Insurance Co., Front Royal Insurance Co., Preferred National Insurance Co. and Somerset Casualty Insurance Co.

Commercial Loan Insurance Corp., Milwaukee. On Aug. 6, the company and an affiliate, WMAC Credit Insurance Corp., were acquired by PMI Mortgage Insurance Co, from WMAC Investment Corp., whose ultimate parent, Leucadia National Corp., indirectly owns Empire Insurance Co.

Connecticut Life & Casualty Insurance Corp., Meriden, Conn. On June 1, the company was acquired by Direct Response Corp., a Delaware holding company.

Coregis Indemnity Co., Schaumburg, Ill. On July 3, the company was acquired as a shell by Medmarc Mutual Insurance Co. from Coregis Group Inc. of the GE Capital Insurance Group.

Farm Family Casualty Insurance Co., Glenmont, N.Y. On April 10, American National Insurance Co. acquired Farm Family Holdings Inc., the parent of Farm Family Casualty Insurance Co. and its affiliate, United Farm Family Insurance Co.

First American Insurance Co., Kansas City, Mo. On June 22, the acquisition of the company by Arch Capital Group was completed.

Fitchburg Mutual Insurance Co., Fitchburg, Mass. Effective June 15, the company became affiliated with the Norfolk & Dedham Group, Dedham, Mass.

Florida Select Insurance Co., Sarasota, Fla. On July 10, Vesta Insurance Group Inc. completed the acquisition of Florida Select Insurance Holdings Inc., the ultimate parent of Florida Select Insurance Co. and its affiliate, Texas Select Lloyds Insurance Co.

Franklin Insurance Co., Lock Haven, Pa. On May 29, Mercer Mutual Insurance Co. acquired control of the company through purchase of the parent, Franklin Holding Co. Inc.

GuideOne Casualty Insurance Co., Waco, Texas. On Sept. 10, the company was acquired by Home State County Mutual Insurance Co. Effective Nov. 28, the name of the company was changed to Equity Insurance Co.

Instant Auto Insurance Co. (Alma, Mo.), Irving, Texas. On May 1, four companies in the Vesta Insurance Group--Vesta Fire Insurance Corp., Hawaiian Insurance & Guaranty Co. Ltd., Shelby Casualty and Shelby Insurance Co.--acquired about 51.53% of the stock of the company's parent, Instant Insurance Holdings Inc.

J.C. Penney Casualty Insurance Co. (Columbus, Ohio), Piano, Texas. On June 19, the company and its two life affiliates, J.C. Penney Life Insurance Co. and Stone-bridge Insurance Co., were acquired by Commonwealth General Corp., whose ultimate parent is Aegon N.V., from J.C. Penney Inc.

Lincoln National Health & Casualty Insurance Co., Fort Wayne, Ind. On Dec. 7, Swiss Re Life & Health America Inc. completed the acquisition of the company from Lincoln National Life Insurance Co.

Linsco Reinsurance Co., Fort Wayne, Ind. On Dec. 7, the company was acquired by Swiss Re from Lincoln National Corp. through the purchase of Lincoln's reinsurance operation, Lincoln Re.

London Assurance of America Inc. (New York), Charlotte, N.C. On Feb. 22, the name of the company was changed to XL Capital Assurance Inc., following the acquisition of the shell of the company by XL Reinsurance Company of America Inc. from Royal Indemnity Co.

MasterCare Insurance Company of New York, New York. Effective April 19, the company was acquired by Unitrin Inc. and changed the name to Unitrin Direct Advantage Insurance Co.

Mountain States Insurance Co., Ramsey, Minn. On Dec. 3, the company was sold as a shell by NAU Holdings Inc. to Producers Lloyds Insurance Co.

Mutual Service Casualty Insurance Co., St. Paul, Minn. On Dec. 1, the company and its subsidiary, Modern Service Insurance Co., were acquired by Country Insurance & Financial Services Group.

Reliant Casualty Insurance Co. (Independence, Ohio), Davie, Fla. On April 5, direct ownership was acquired by Coast National Insurance Co. from Reliance Insurance Co.

Reliant Insurance Co. (Troy, Mich.), Philadelphia. Effective April 5, the company was acquired as a shell by Coast National Insurance Co. from Reliance Insurance Co.

Seven Hills Insurance Co., New York. On July 2, the company was acquired as a shell by Alea Group from Great American Insurance Co.

Sorema North America Reinsurance Co., New York. On July 31, the company and a subsidiary, Fulcrum Insurance Co., were acquired by Scor, the ultimate parent of Scor Reinsurance Co. On the same date, Scor donated direct ownership of Sorema North America to Scor Reinsurance Co.

Unistar Insurance Co., Dallas. On March 21, Agricultural Workers Mutual Auto Insurance Co. purchased the shell of Unistar, which is in permanent receivership in Texas. The name was then changed to Worth Casualty Co.

USF Insurance Co. (Philadelphia), Livingston, N.J. On Sept. 30, the company was sold by U.S. Holdings Inc., whose ultimate parent was HCC Insurance Holdings Inc., to AJK Holdings Inc.

USF&G Business Insurance Co. (Baltimore), St. Paul, Minn. On July 1, the company was acquired by Encompass Holdings LLC, a subsidiary of Allstate Insurance Co., from United States Fidelity & Guaranty Co.

Virginia Mutual Insurance Co., Glen Allen, Va. In August, the company affiliated with Alfa Mutual Insurance Co.

Warner Insurance Co., Springfield, Ill. On Oct. 5, the company was acquired by Direct Response Corp. from Fireman's Fund Insurance Co.

Waterford Insurance Co. (Topeka, Kan.), Hanover, N.H. On Jan. 5, the company was sold as a shell to Nationwide Mutual Insurance Co. Effective Jan. 8, the name of the company was changed to Nationwide Affinity Insurance Company of America.

Wilson Mutual Insurance Co., Sheboygan, Wis. On Nov. 19, the company became affiliated with Motorists Insurance Group.

Winterthur International America Underwriters Insurance Co. (Tulsa, Okla.), Sun Prairie, Wis. On July 25, the company and Winterthur International America Insurance Co. were acquired by XL America Inc. from General Casualty Insurance Company of Wisconsin.

Sumitomo Marine & Fire Insurance Co. Ltd. U.S. Branch, New York. Effective Sept. 28, the company was domesticated in New York and changed the name to Sumitomo Marine & Fire Insurance Company of America.

Texas Workers' Compensation Insurance Fund, Austin, Texas. Effective Sept. 1, the name of the company was changed to Texas Mutual Insurance Co.

Travelers Indemnity Company of Missouri, Hartford, Conn. Effective Oct. 1, the name of the company was changed to Travelers Commercial Casualty Co.

Underwriters Lloyds of Texas, Houston. Effective March 15, the name of the company was changed to Axa Corporate Solutions Lloyds Insurance Company of Texas, subsequent to the acquisition of the company by Axa Re Property & Casualty Insurance Co.

United Educators Insurance Risk Retention Group Inc. (Burlington, Vt.), Chevy Chase, Md. Effective July 1, the company converted from a mutual to a reciprocal insurance exchange and changed the name to United Educators Insurance, A Reciprocal Risk Retention Group.

Utilities Mutual Insurance Co. (North Syracuse, N.Y), Parsippany, N.J. Effective May 30, the company demutualized and changed the name to UMI Insurance Co.

Vesta Lloyds Insurance Co. (Dallas), Birmingham, Ala. Effective Sept. 29, the company changed its name to Texas Select Lloyds Insurance Co.

Virginia Insurance Reciprocal, Richmond, Va. Effective Jan. 1, the name of the company was changed to Reciprocal of America.

Waterford Insurance Co. (Topeka, Kan.), Hanover, N.H. Effective Jan. 8, the name of the company was changed to Nationwide Affinity Company of America.

Western Family Insurance Co., San Diego. Effective Oct. 1, the name of the company was changed to Anchor General Insurance Co. At that time, the company redomesticated from Arizona to California.

Worcester Insurance Co., Worcester, Mass. Effective July 1, the name of the company was changed to Harleysville Worcester Insurance Co.

ZC Insurance Co. (Fort Lee, N.J.), New York. Effective Sept. 10, the name of the company was changed to Converium Insurance (North America) Inc.

Anpac Louisiana Insurance Co. (Metairie, La.), Springfield, Mo. The company was incorporated in Louisiana on April 26, 2000, and commenced business on Nov. 1, 2001.

Associated Employers Insurance Co., Burlington, Mass. The company was incorporated in Massachusetts on March 12, and it commenced business on April 4.

Central Benefits Assurance Co., Columbus, Ohio. This company was incorporated in Ohio on Jan. 11, 1985, and commenced business Oct. 1, 1985. The company became dormant in 1986 and was reactivated in May 2001.

Golden Insurance Co., A Risk Retention Group, Reno, Nev. This company was incorporated in Nevada on May 16 and commenced business July 9.

Grange Insurance Company of Michigan (Livonia, Mich.), Columbus, Ohio. The company was incorporated in Michigan on April 23 and commenced business July 26.

Homesite Insurance Company of Florida (Tallahassee, Fla.), Boston. The company was incorporated in Florida on Dec. 29, 2000, and commenced business on Aug. 23, 2001.

Insurance Company of the South (Nashville, Ga.), St. Louis. The company was incorporated in Georgia on Dec. 27, 1984 and commenced business on Dec. 16, 2001.

Lone Star National Insurance Co. (Metamora, Ill.), Indianapolis. The company was incorporated and commenced business in Illinois on March 13.

Mercury Indemnity Company of Florida, Clearwater, Fla. The company was incorporated in Florida on Aug. 27.

National Building Material Assurance Co. (Metamora, Ill.), Indianapolis. The company was incorporated and commenced business in Illinois on March 13.

Nevada Capital Insurance Co. (Reno, Nev.), Monterey, Calif. The company was incorporated in Nevada on June 13 and commenced business Oct. 17.

Professional Solutions Insurance Co., West Des Moines, Iowa. The company was incorporated in Iowa on May 11, and commenced business on July 27.

USAA Texas Llyod's Co., San Antonio. The company was formed in Texas on May 16 and commenced business on Sept. 13.

Versant Casualty Insurance Co. (Jackson, Miss.), Baton Rouge, La. The company was incorporated in Mississippi on Dec. 18, 2000, and commenced business June 30, 2001.

Worth Casualty Co., Fort Worth, Texas. The company was incorporated in Texas on April 4, 1983, and, after being acquired as a shell from the Texas Department of Insurance, commenced business during the fourth quarter of 2001.

Acceleration National Insurance Co. (Columbus, Ohio), Simsbury, Conn. On May 2, 2000, the company was placed under state supervision and on Nov. 29, 2000, it was placed in rehabilitation. Effective Feb. 28, 2001, the Ohio Department of Insurance placed the company in liquidation.

Allcity Insurance Co., Brooklyn, N.Y. Effective Dec. 28, the company entered voluntary liquidation.

American Agents Insurance Co., Melville, N.Y. Effective Feb. 5, the company was placed in liquidation.

American Industries Fire Insurance Co., Houston. Effective Oct. 31, the company was dissolved.

Amwest Surety Insurance Co. (Omaha, Neb.), Calabasas, Calif. Effective May 8, the company was placed under state supervision by Nebraska regulators. On June 7, the company was placed in liquidation.

Colonial Casualty Insurance Co., Dallas. The company was placed in conservation June 11.

Comstock Insurance Co., Glendale, Calif. Effective June 22, the company was placed under state supervision by California regulators.

Continental National Indemnity Co., Cincinnati. Effective Dec. 31, the company discontinued business and is now in runoff.

Credit General Insurance Co., Beachwood, Ohio. The company was placed into rehabilitation by the Ohio Department of Insurance on Nov. 6, 2000, and the company was placed into liquidation on Jan. 5, 2001.

Delta Casualty Co., Chicago. Effective Dec. 5, the company was placed in liquidation by the Cook County Circuit Court.

Empire Insurance Co., Brooklyn, N.Y. Effective Dec. 28, the company entered voluntary liquidation.

Far West Insurance Co. (Omaha, Neb.), Calabasas, Calif. Effective Nov. 9, the company was placed in liquidation by the District Court of Lancaster County, Nebraska.

Farmers Mutual Aid Association of Van Wert, Van Wert, Ohio. Effective May 15, the company discontinued business.

First Nevada Insurance Co., Reno, Nev. Effective March 12, the company was placed in liquidation by the state of Nevada.

Fortune Insurance Co., Jacksonville, Fla. Effective May 30, the company was placed in rehabilitation by the state of Florida. On July 6, the company was placed in receivership for the purpose of liquidation by the Circuit Court of Leon County, Florida.

Frontier Insurance Co., Rock Hill, N.Y. On Aug. 24, the company entered voluntary rehabilitation in the state of New York.

Frontier Pacific Insurance Co., San Diego. Effective Sept. 7, the company was placed in conservation by the California Department of Insurance. It was later placed in liquidation.

Great States Insurance Co., Anaheim, Calif. Effective March 30, the company was placed in conservation. The company was placed in liquidation on May 8.

Hartford Steam Boiler Inspection & Insurance Company of Texas, Hartford, Conn. Effective Dec. 21, the company was voluntarily dissolved.

HIH America Compensation & Liability Insurance Co., Burlingame, Calif. On March 30, the company was placed in conservation. Effective May 8, the California Department of Insurance placed the company in liquidation.

HIH America Insurance Company of Hawaii, Honolulu. Effective March 30, the company was placed in conservation. It was placed in liquidation on May 18.

Home Farmers Mutual Insurance Co., Hopkins, Minn. In April, the company was dissolved.

Independence Indemnity Insurance Co. (Topeka, Kan.), Mechanicsburg, Pa. Effective Aug. 16, the company was placed in rehabilitation when an affiliate, Phico Insurance Co., was placed under control of the Pennsylvania Insurance Department. Independence Indemnity had voluntarily discontinued active insurance operations during the second quarter of 2000.

Medical Malpractice Insurance Association, New York. On March 31, the company ceased operations. The business of the company was assumed by Medical Liability Mutual Insurance Co.

Millers Direct Insurance Co., Fort Worth, Texas. In April, the company was voluntarily dissolved.

Old Republic Standard Insurance Co. (Phoenix), Chicago. On June 30, the company ceded all unearned premiums and outstanding loss reserves back to Old Republic Insurance Co. and ceased operations.

Paradigm Insurance Co. (Indianapolis), Louisville, Ky. Effective Oct. 4, 1999, the company was placed under state supervision by the Indiana Insurance Department. On March 12, 2001, the company was placed in liquidation.

Pennsylvania Casualty Insurance Co., Mechanicsburg, Pa. The company was placed in rehabilitation on Nov. 19.

Proliance Insurance Co., Columbus, Ohio. Effective Jan. 3, the company was placed in rehabilitation.

Queensway Casualty Insurance Co., Mount Dora, Fla. The company was placed in liquidation by the Leon County (Florida) Circuit Court on Jan. 18.

Reliance Insurance Co., Philadelphia. Effective Oct. 3, the Pennsylvania Commonwealth Court placed the company and its subsidiaries in liquidation. The companies had been placed under state supervision Jan. 23 and in rehabilitation May 29. The subsidiaries included in the action are Reliance Direct Insurance Co., Reliance Insurance Company of Illinois, Reliance Lloyds, Reliance National Indemnity Co., Reliance National Insurance Co., Reliance Surety Co., Reliance Universal Insurance Co., Sable Insurance Co. and United Pacific Insurance Co.

Texas Select Lloyds Insurance Co., San Antonio. As of July 10, the company is in the process of being dissolved.

Underwriters Guarantee Insurance Co., Miami. On Nov. 6, the company was placed in rehabilitation.

Unisource Insurance Co., Hollywood, Fla. On March 28, 2000, the company was placed under state supervision by the Florida Insurance Department. Effective Oct. 25, 2001, it was placed in liquidation.

United Capitol Insurance Co. (Chicago), Atlanta. On Sept. 12, the company was placed in conservation. Effective Nov. 14, the Illinois Department of Insurance placed the company in liquidation.
