Corporate changes: the number of mergers increased in the property/casualty industry in 2002, and state involvement continues to grow. (Corporate Changes: Property/Casualty).

The number of state actions continued to rise in 2002, to 44 compared with 35 in 2001 and 25 in 2000.

This year's corporate changes study, based on filings and AM. Best Co. data, shows 35 new property/casualty insurers entered the market in 2002.There were 29 acquisitions or ownership changes, compared with 54 in 2001, 31 mergers in 2002 vs. 30 in the previous year and 62 name changes com pared with 85 in 2001.

All changes occurred in 2002, unless otherwise indicated. Locations in parentheses indicate a company s domicile when it differs from the location of its headquarters.

Mergers

Aberdeen Insurance Co. (Houston), Lawrencevile, N.J. Effective Sept. 30, the company was merged into its parent, Highlands Insurance Co. The company had been placed under state supervision as of Feb. 22.

American Continental Insurance Co. (St. Louis), St. Paul, Minn. Effective July 1, the company merged into St. Paul Fire and Marine Insurance Co.

Atlas Assurance Company of America, New York. On Dec. 31, the company merged into a newly formed company, Peerless Indemnity Insurance Co., for the purpose of redomesticating to Illinois.

Chartwell Insurance Co., Stamford, Conn. Effective Dec. 24, the company merged into its parent, Trenwick America Reinsurance Corp.

Design Professionals Insurance Co. (Farmington, Conn.), Charlotte, N.C. Effective Dec. 31, the company merged into Security Insurance Company of Hartford.

DeSoto Insurance Co., Tallahassee, Fla, On Oct. 10, the company merged into DeSoto Prime Insurance Co.

EBI Indemnity Co. (Farmington, Conn.), Charlotte, N.C. Effective Dec. 31, the company merged into Security Insurance Company of Hartford.

Employee Benefits Insurance Co. (Farmington, Conn.), Charlotte, N.C. Effective Dec. 31, the company merged into Security Insurance Company of Hartford.

Farmers Alliance and Industrial Union Mutual Fire Insurance Co., Shinglehouse, Pa. On Nov. 30, 2001, the Pennsylvania Department of Insurance approved the merger of Farmers Alliance with Mutual Fire Insurance Co. in Calvert County, Prince Frederick, Md., with Mutual Fire being the survivor. The transaction became effective Jan. 1.

Farmers Mutual Fire Insurance Company of Sumner County, Gallatin, Tenn. Effective April 1, the company merged with and into Farmers Mutual Insurance Company of Tennessee, Knoxville, Tenn.

Freehold Mutual Insurance Co., Bear Lake, Pa. Effective Dec. 31, the company merged into Farmers Mutual Fire Insurance Company, Marble, Pa.

Fremont Compensation Insurance Co., Glendale, Calif. Effective May 31, the company and an affiliate, Fremont Pacific Insurance Co., were merged into Fremont Indemnity Co.

Fremont Pacific Insurance Co., Glendale, Calif. Effective May 31, the company was merged into its parent, Fremont indemnity Co., along with an affiliate, Fremont Compensation Insurance Co.

Grange Mutual Insurance Co., Warwick, R.I. Effective Dec.31, the company merged into Providence Mutual Fire Insurance Co.

Highlands Casualty Co. (Houston), Lawrenceville, N.J. On Sept. 30, the company was merged into its parent, Highlands Insurance Co. The company had been placed under state supervision on Feb.22.

Millers Casualty Insurance Co., Fort Worth, Texas. Effective March 31, the company was merged into its parent, Millers Insurance Co.

NN Insurance Co. (Brookfield, Wis.), Lawrenceville, NJ. On June 30, the company merged into its parent, Northwestern National Casualty Co.

Pacific Health Providers Insurance Co., Alamo, Calif. On June 17, the company surrendered its licenses and merged all of its assets, investments and liabilities into its parent, Health Providers Insurance Reciprocal Risk Retention Group.

PineBrook Mortgage Insurance Co., Oakbrook Terrace, Ill. Effective March 22, the company merged into its parent, PMI Mortgage insurance Co.

Pioneer Insurance Co., Greenville, Ohio. In May, the company was merged into Atlantic States insurance Co.

Scandinavian Mutual Insurance Association, Dayton, Iowa. On Jan. 1, the company was assumed by Central Iowa Mutual Insurance Association, Story City, Iowa.

Service Casualty Insurance Co., Austin, Texas. Effective June 30, the company merged into its parent, Service Lloyds Insurance Co.

Southern Heritage Insurance Co., Duluth, Ga. Effective May 1, the company was merged into an affiliate, Southern insurance Company of Virginia.

Utah Farm Bureau Insurance Co. (Sandy, Utah), West Des Moines, Iowa. Effective Jan. 1, the company merged into its parent, Farm Bureau Mutual Insurance Co.

Insurance Company of the Americas (Ormond Beach, Fla.), Oriskany N.Y On Sept. 12, the company was acquired by IPA Acquisitions, a California corporation, from Pace American Group Inc.

Integrity Mutual Insurance Co., Appleton, Wis. On Jan. 1, the company became a member of the Grange Mutual Casualty Group through a pooled reinsurance agreement.

Kemper Auto & Home Insurance Co., Long Grove, Ill. Effective June 28, the company was acquired by Trinity Universal Insurance Co., a subsidiary of Unitrin Inc.

Kemper Independence Insurance Co., Long Grove, Ill. Effective June 28, the company was acquired by Trinity Universal Insurance Co., a subsidiary of Unitrin Group.

Le Mars Mutual Insurance Company of Iowa, Le Mars, Iowa. On June 12, Donegal Mutual Insurance made a surplus note investment in the company.

National Alliance Insurance Co., St. Louis. On May 16, Motor Insurance Corp. acquired Affinity Group Plans Inc. and its subsidiary, National Alliance Insurance Co.

Newmarket Underwriters Insurance Co., Rochester, N.H. On July 16, the company was acquired as a shell by Allied World Assurance Co. from Swiss Re.

North Pointe Insurance Co., Southfield, Mich. On May 31, the company was acquired by North Pointe Holdings Corp. from Queensway Financial Holdings Ltd.

Old Lyme Insurance Company of Rhode Island Inc., Warwick, RI. On May 30, the company, along with a Bermuda affiliate, Old Lyme Insurance Co. Ltd., was acquired by Fairfax Inc.

Personal Service Insurance Co., Columbus, Ohio. On Nov. 30, the company was acquired by Arch Reinsunince Ltd., Bermuda.

Platinum Underwriters Reinsurance Inc. (Baltimore), St. Paul, Minn. On Nov. 4, St. Paul transferred all of the company s reinsurance business and assets to a newly formed Bermuda reinsurer, Platinum Underwriters Holdings Ltd.

Rock River Insurance Co. (Stevens Point, Wis.), Stamford, Conn. On Feb. 1, the company was sold as a shell from Sentry Group to Arch Capital Group Ltd. The company was later contributed to First American Insurance Co.

Royal & SunAlliance Personal Insurance Co. (New York), Charlotte, N.C. On. Nov.27, the company was sold as a shell to Axis Specialty US Holdings Inc.

Sheffield Insurance Corp., Glenview, Ill. On June 19, the company was sold as a shell by Vesta Capital Insurance Syndicate to Combined Specialty Group Inc.

Travelers Property Casualty Corp., Hartford, Conn. On Aug. 20, Citicorp spun off the majority of its shares in Travelers Property Casualty Corp. and its subsidiaries, except Citicorp Assurance Co., Citicorp International Trade Indemnity and Triton Insurance Co.

Underwriters Insurance Co., Lincoln, Neb. On Jan. 3, Alleghany Corp. acquired Underwriters Insurance Co. as a shell from Swiss Re America Corp. The company is now affiliated with Capitol Indemnity Corp. and Capitol Specialty Insurance Corp.

Acceptance Insurance Co. (Lincoln, Neb.), Council Bluffs, Iowa. Effective Nov. 22, the company was placed under state supervision. On Dec. 20, it was placed in rehabilitation.

Alistar Insurance Co., Fresno, Calif. Effective April it, an order of conservation was granted by the California Insurance Department. On Oct. 24, the company was placed in liquidation.

Amcorp Insurance Co., Houston. On Aug. 30, the company was placed in temporary receivership by the Texas Department of Insurance. It was placed in permanent receivership on Nov. 6.

American Growers Insurance Co. (Lincoln, Neb.), Council Bluffs, Iowa. Effective Nov. 25, the company was placed under state supervision by the Nebraska Department of Insurance. On Dec. 20, the company was placed in rehabilitation.

American Horizon Insurance Co., Lincolnshire, Ill. Effective July 11, the company was placed in liquidation by the Illinois Department of Insurance.

American Professionals Insurance Co. (Indianapolis), Lawrenceville, NJ. Effective Feb. 22, Highlands Insurance Co. was placed under state supervision by the Texas Department of Insurance. The order included all of the subsidiaries and affiliates.

Aries Insurance Co. Inc., North Miami, Fla. Effective May 9, the company was placed in rehabilitation by the Florida Insurance Department. It was placed in liquidation on Nov. 14.

Casualty Reciprocal Exchange, Kansas City, Mo. Effective Dec. 19, the company was placed in rehabilitation by the Missouri Department of Insurance.

Catawba Insurance Co., Columbia, S.C. Effective Aug. 20, the company was placed under state supervision by the South Carolina Department of Insurance.

Century Property & Casualty Insurance Co., Oklahoma City. Effective Dec. 31, the company was placed in liquidation by the Oklahoma Department of Insurance.

Colonial Casualty Insurance Co., Dallas The company was placed in conservatorship by the Texas Department of Insurance on June 11,2001. It was placed into temporary receivership on Sept. 19 and into permanent receivership on Oct. 7.

The Conn Surety Co., Hartford, Conn. Effective Feb. 6, the company was placed in rehabilitation at the request of the Connecticut Insurance Department. It was placed in liquidation on May 1.

Consolidated American Insurance Co., Columbia, S.C. Effective Aug.20, the company was placed under state supervision by the South Carolina Department of Insurance.

Empire Lloyds Insurance Co., Houston. Effective Dec. 30, the company was placed in temporary receivership by the Texas Department of Insurance.

Equity Mutual Insurance Co., Kansas City, Mo. Effective Dec. 19, the company was placed in rehabilitation by the Missouri Department of Insurance.

Grange Mutual Insurance Co. (Oregon), Beaverton, Ore. On June 30, the company's board of directors voluntarily placed the company in runoff. On Oct. 1, the company was placed in liquidation.

Group Council Mutual Insurance Co., New York. Effective March 19, the company was placed in liquidation by the New York Department of Insurance.

Oak Casualty Insurance Co., Des Plaines, Ill. Effective Aug. 7, the company was placed under state supervision due to declining surplus and discontinued issuing new policies. On Nov. 19, the company was placed into liquidation by the Cook County Circuit Court.

Hamburg International Reinsurance Co. USB (Hamburg, Germany), Orlando, Fla. Effective May 14, the company consented to voluntarily surrender its U.S. branch certificate of authority as an alien insurer in Florida and is dissolving.

Highlands Insurance Co. (Houston), Lawrenceville, N.J. Effective Feb. 22, the company was placed under state supervision by the Texas Department of Insurance.

Independence Indemnity Insurance Co. (Topeka, Kan.), Mechanicsburg, Pa. Effective Aug. 16, 2001, the company was placed in rehabilitation in the state of Pennsylvania when an affiliate, Phico Insurance Co., was placed under control of the Pennsylvania Insurance Department. Independence Indemnity had voluntarily discontinued active insurance operations during the second quarter of 2000. On June 25, the state of Kansas placed the company in rehabilitation.

Insurance Company of Ohio, Columbus, Ohio. On Oct. 1, the company and its parent, Meridian Security Insurance Co., entered into an assumption reinsurance agreement and the company was to be dissolved. On Dec. 23, the Ohio Department of Insurance approved the dissolution. On Jan. 10, 2003, the certificate of dissolution, effective Jan. 15, was filed with the state.

Legion Indemnity Co. (Chicago), Philadelphia. Effective April 1, the company was placed under an order of conservation by the state of Illinois.

Legion Insurance Co., Philadelphia. On April 1, the company entered into voluntary rehabilitation in the state of Pennsylvania.

MasterCare Insurance Co., Clark, N.J. The company was placed in rehabilitation by the New Jersey Department of Insurance on Sept. 10.

National Automobile & Casualty Insurance Co., Pasadena, Calif. On March 27, the Los Angeles Superior Court placed the company into conservation.

NN Insurance Co. (Brookfield, Wis.), Lawrenceville, NJ. Effective Feb.22, the company was placed under state supervision.

Northwestern National Casualty Co. (Brookfield, Wis.), Lawrenceville, N.J. Effective Feb.22, Highlands Insurance Co. was placed under state supervision by the Texas Department of Insurance. The order included all of the subsidiaries and affiliates.

Pacific Automobile Insurance Co. (Woodland Hills, Calif.), Lawrenceville, NJ. Effective Feb. 22, Highlands Insurance Co. was placed under state supervision by the Texas Department of Insurance. The order included all of the subsidiaries and affiliates.

Pacific National Insurance Co. (Woodland Hills, Calif.), Lawrenceville, N.J. Effective Feb. 22, Highlands Insurance Co. was placed under state supervision by the Texas Department of Insurance. The order included all of the subsidiaries and affiliates.

Paula Insurance Co., Pasadena, Calif. On April 26, the Los Angeles County Superior Court placed the company under conservation The company stopped writing new business on March 1. Effective June 21, the company was placed into liquidation by the California insurance Commissioner.

Pennsylvania Casualty Insurance Co., Mechanicsburg, Pa. The company was placed in rehabilitation on Nov. 19, 2001. Effective Feb. 1, the company was placed in liquidation by the Pennsylvania Insurance Department.

Petrosurance Casualty Co. (Norman, Okla.), Arlington, Texas. Effective March 5, the company was placed in receivership. The company had been in conservatorship since Feb. 5, and under voluntary supervision since May 29, 2001.

Phico Insurance Co., Mechanicsburg, Pa. Effective Feb. 1, the company was placed in liquidation by the Pennsylvania Department of Insurance. It had been in rehabilitation since Aug. 16, 2001.

Pinnacle Insurance Co., Carrollton, Ga. The company was placed under state supervision on May 30,1997. Effective Jan.23, the company was placed into liquidation.

South Carolina Insurance Co., Columbia, S.C. Effective Aug. 20, the company was placed under state supervision by the South Carolina Department of Insurance.

St. Paul Insurance Co. (Irving, Texas), St. Paul, Minn. Effective Jan. 1, the company was dissolved.

State Capital Insurance Co. (Raleigh, NC.), Lawrenceville, NJ. Effective Feb. 22, Highlands Insurance Co. was placed under state supervision by the Texas Department of Insurance. The order included all of the subsidiaries and affiliates.

Statesman Insurance Co. (Indianapolis), Lawrenceville, N.J. Effective Feb. 22, Highlands Insurance Co. was placed under state supervision by the Texas Department of Insurance. The order included all of the subsidiaries and affiliates.

Truepaws Family Pet Insurance Co., Portland, Ore. Effective June 27, the company has been dissolved.

United Agents Insurance Company of Louisiana, Baton Rouge, La. On Nov. 14, 2001, the company was placed in rehabilitation. It was placed in liquidation effective March 3.

Valor Insurance Co., Bedford Park, Ill. On Feb. 25, the company was placed in conservatorship by the Illinois Department of Insurance.

Villanova Insurance Co., Philadelphia. Effective April 1, the company entered into voluntary rehabilitation in the state of Pennsylvania.

Western Specialty Insurance Co., Oak Brook, Ill. Effective May 6, the company was placed into liquidation by the Cook County Circuit Court in Illinois.
