Corporate Changes.

An increased number of property/casualty insurers faced state actions in 2000.

The property/casualty industry saw the number of state actions against property/casualty insurers more than double in 2000, to 25, from 12 in 1999. This year's corporate changes study, based on filings and A.M. Best Co. data, also shows 16 new companies entering the market in 2000. In addition, there were 45 acquisition or ownership changes, 24 mergers and 55 name changes. All changes occurred in 2000, unless noted otherwise. Locations listed in parentheses indicate a company's domicile when it differs from the location of the company's physical headquarters.

Acquisitions & Ownership Changes

American Continental Insurance Co. (Kansas City, Mo.), Deerfield, Ill. On April 18, MMI Cos., parent of American Continental Insurance Co., was acquired by St. Paul Group.

Associates Insurance Co., Irving, Texas. Effective Nov. 30, Travelers/Citi-group Cos. acquired the company and its subsidiaries in the Associates First Capital Group.

Chatham Reinsurance Co. (San Francisco), Florham Park, N.J. On July 1, the company and its parent, Chatham Reinsurance Corp., were acquired by Mapfre Re, Madrid, Spain. Simultaneously, the name of the com pany was changed to Mapfre Reinsurance Corp.

Chicago Motor Club Insurance Co., Des Plaines, Ill. On Jan. 31, the company was acquired by Auto Club Insurance Association.

Continental National Indemnity Co., Cincinnati. The company was acquired by CNA Insurance Cos. on Sept. 25.

Covenant Insurance Co., Waterbury, Conn. During the second quarter, Arbella Inc., a subsidiary of Arbella Mutual Insurance Co., completed the acquisition of 100% of Constitution Holdings, the parent of Covenant Insurance Co., and 97.4% of Mass Holdings Inc., the parent of Commonwealth Reinsurance Co. and its affiliate, Commonwealth Mutual Insurance Co.

Elm County Mutual of Texas, Austin, Texas. On Sept. 30, Mercury General Corp. acquired the management contract of the company from Employers Reinsurance Corp.

Foremost Insurance Co., Grand Rapids, Mich. In March, Foremost Corporation of America, the company's parent, was acquired by Farmers Insurance Exchange (80%), Fire Insurance Exchange (10%) and Truck Insurance Exchange (10%).

Gibraltar Casualty Co. (Dover, Del.), Newark, N.J. On Sept. 19, Everest Reinsurance Holdings Inc. acquired the company from Prudential Insurance Company of America. Simultaneously, the name of the company was changed to Mt. McKinley Insurance Co.

Hartford Steam Boiler Inspection & Insurance Co., Hartford, Conn. On Nov. 23, the parent company of Hartford Steam Boiler, HSB Group Inc., was acquired by American International Group Inc. The acquisition also included Hartford Steam Boiler Inspection & Insurance Company of Connecticut and Hartford Steam Boiler Inspection & Insurance Company of Texas.

Health Care Insurance Co., Princeton, N.J. Effective Sept. 13, Health Care Insurance Co. and Princeton Insurance Co. were acquired by Medical Liability Mutual Insurance Co.

Heartland Lloyds Insurance Co., Austin, Texas. The company was acquired by Service Lloyds Insurance Co. on June 5.

Idaho Mutual Insurance Co., Caldwell, Idaho. On Nov. 7, the company converted from a mutual to a stock company. It was acquired by United Heritage Holdings Inc. and changed its name to United Heritage Property & Casualty Co.

Integral Insurance Co., Platte City, Mo. On June 1, the shell of the company was sold to Caterpillar Inc., and on June 5, the name was changed to Caterpillar Insurance Co.

Investors Insurance Company of America, Summit, N.J. On Jan. 1, the company was sold as a shell to Lumbermen's Mutual Casualty Co. Immediately prior to the sale, Investors entered into a reinsurance agreement whereby their business was transferred to Essex Insurance Co., a Markel affiliate. On Jan. 3, the company was renamed Specialty Surplus Insurance Co.

Lyndon Property Insurance Co., St. Louis. On Jan. 20, Protective Life Insurance Co. acquired Lyndon Property's parent, Lyndon Insurance Group Inc. from Frontier Insurance Group.

Midwest Casualty Insurance Co., Bismarck, N.D. During the second quarter, Gainsco Inc., the parent of General Agents Insurance Company of America, completed the acquisition of Tri-State Ltd., parent of Midwest Casualty Insurance Co.

Millennium Insurance Co., Camarillo, Calif. On March 3, GuideOne Financial Group Inc. acquired Carnegie Holdings Inc., the parent of Millennium Insurance Co.

Monroe Guaranty Insurance Co., Carmel, Ind. During the fourth quarter, FCCI Insurance Group Inc., a subsidiary of FCCI Insurance Co., acquired 100% of Monroe Guaranty Cos., the parent of Monroe Guaranty Insurance Co.

Mountain Valley Indemnity Co., Manchester, N.H. Effective March 1, Motor Club of America, a New Jersey holding company, acquired Mountain Valley from Unitrin Inc.

MSI Preferred Insurance Co. (Greenfield, Wis.), St. Paul, Minn. Effective June 28, Country Mutual Insurance Co. acquired 60% of the company, which results in the company now being a member of the Country Cos. group.

National Lloyds Insurance Co., Waco, Texas. On Dec. 31, the company and American Summit Insurance Co. were sold by GuideOne Insurance Group back to their original owners through a newly developed holding company, NLASCO Inc.

Northbrook Indemnity Co. (Northbrook, Ill.), St. Paul, Minn. On Feb. 1, the company was sold as a shell by St. Paul Fire & Marine Insurance Co. back to its former parent, Allstate Insurance Co.

Commercial Reinsurance Co. (Oklahoma City), New York. On June 30, the company was acquired by FSA Insurance Co. and was simultaneously merged into FSA, the surviving company.

Old Guard Insurance Co., Lancaster, Pa. Effective Sept. 29, Ohio Farmers Insurance Co. acquired Old Guard Group Inc. and its affiliates, Old Guard Insurance Co., Old Guard Fire Insurance Co., First Patriot Insurance Co., First Delaware Insurance Co. and Neffsville Mutual Fire Insurance Co.

Pacific Select Property Insurance Co., Concord, Calif. On Feb. 23, the company was acquired by St. Paul Fire & Marine Insurance Co.

PCA Property & Casualty Insurance Co., Longwood, Fla. On March 31, Folksamerica Holding Co., a wholly owned subsidiary of White Mountains Insurance Group Ltd., completed the acquisition of the company from Humana Inc.

Pennsylvania Medical Society Liability Insurance Co., Harrisburg, Pa. Effective Dec. 31, Norcal Mutual Insurance Co. acquired Medical Group Holdings Inc. and its 82.6% indirect interest in Pennsylvania Medical Society Liability.

Professionals Advocate Insurance Co., Hunt Valley, Md. During the last week in December, Medical Mutual Liability Insurance Society reacquired direct and complete ownership of Professionals Advocate.

Redland Insurance Co. (Council Bluffs, Iowa), Omaha, Neb. Effective July 1, the company was acquired as a shell by Clarendon National Insurance Co. from Acceptance Insurance Cos.

Regency Insurance Co., Charlotte, N.C. Effective July 13, the company was acquired by Tomoka Re Holdings Inc. from Frontier Insurance Group Inc.

Reliance Reinsurance Co. (Wilmington, Del.), Philadelphia. Effective Oct. 2, the company was sold as a shell to Overseas Partners Ltd., Bermuda, and adopted the title Overseas Partners US Reinsurance Co.

Republic Insurance Co., Dallas. Effective Aug. 1, the company was acquired by Columbia Insurance Co.

Rochdale Insurance Co., New York. On Dec. 31, the company was acquired as a shell by AmTrust Financial Services Inc., the parent of Technology Insurance Co.

Royal Special Risks Insurance Co. (Glastonbury, Conn.), Charlotte, N.C. Effective Aug. 2, the company was acquired as a shell by Homesite Securities Co. LLC, which is owned by Homesite Group Inc., and the name was changed to Homesite Insurance Co.

Seneca Insurance Co. Inc., New York. Effective Aug. 31, North River Insurance Co. acquired Sen-Tech International Holdings, Delaware, the parent of Seneca Insurance Co. and its subsidiary, Seneca Specialty Insurance Co.

Southeastern Security Insurance Co., Alpharetta, Ga. On Jan. 18, the company was acquired by Everest Reinsurance Co. from Cra-Co Holdings Ltd.

Stonewall Insurance Co. (Cincinnati), Birmingham, Ala. Effective Sept. 29, the company was acquired by Stonewall Acquisition Corp., a nonaffiliate, from Great American Insurance Co.

Summit Insurance Co., Providence, R.I. In December, New London County Mutual Insurance Co. acquired 77.1% of Agents Investors Group Inc., the parent of Summit Insurance Co.

Titan Indemnity Co., San Antonio. In May, Prudential Property & Casualty Insurance Co. completed the acquisition of THI Holdings Inc. and its subsidiaries, Titan Indemnity Co., Titan Insurance Co., Victoria Fire & Casualty, Victoria Automobile, Victoria National, Victoria Select and Victoria Specialty, from U.S. Fidelity & Guaranty Co., a subsidiary of St. Paul Fire & Marine Insurance Co.

Trafalgar Insurance Co. (Oklahoma City), Houston. On March 29, the company was sold as a shell by Houston Casualty Co. to American Safety Group Ltd. Simultaneously, the name of the company was changed to American Safety Indemnity Co.

Transnational Insurance Co. (Hartford, Conn.), Morristown, N.J. On Dec. 21, the company was sold by PXRE Corp. to Crum & Forster. Subsequently, the name of the company was changed to Crum & Forster Specialty Insurance Co.

Underwriters Reinsurance Co. (Concord, N.H.), Calabasas, Calif. On May 10, Swiss Re America Holding Corp., the parent company of Swiss Reinsurance America Corp., completed the acquisition of Underwriters Re Group Inc., which is the parent of Underwriters Reinsurance Co.

Unione Italiana Reinsurance Company of America Inc., New York. On Sept. 30, the company was acquired by National Indemnity Co., a member of the Berkshire Hathaway Group.

United States Liability Insurance Co., Wayne, Pa. During the third quarter, Berkshire Hathaway Inc. completed the acquisition of U.S. Investment Corp., the parent of United States Liability Insurance Co. and its subsidiaries, Mount Vernon Fire Insurance Co. and U.S. Underwriters Insurance Co.

Universal of Omaha Casualty Insurance Co., Omaha, Neb. On Sept. 1, the company was acquired by General Fire & Casualty Co.

Washington International Insurance Co. (Phoenix), Schaumburg, Ill. On Jan. 1, Washington International Holdings Inc., the parent company of Washington International Insurance Co., was acquired by North American Specialty Insurance Co., a part of the Swiss Re America Group.

Mergers

Affinity Insurance Group Inc., Englewood, Colo. Effective June 30, the company merged into National Alliance Insurance Co., St. Louis.

American Skyhawk Insurance Co., Miami. On Dec. 29, the Florida Department of Insurance approved the merger of the company into its parent, The Aries Insurance Co., which then merged into an affiliate, The Green Tree Insurance Co.

Chester County Mutual Insurance Co., Downingtown, Pa. Effective Oct. 1, the company merged into Cumber land Mutual Fire Insurance Co.

CHM Insurance Co., Sioux Falls, S.D. Effective Nov. 1, the company merged into its subsidiary, Rural Community Insurance Co., Minneapolis.

Commercial Compensation Insurance Co., New York. On Feb. 15, the company merged into Commercial Compensation Casualty Co., Calabasas, Calif., which redomesticated the company to California.

Condor Insurance Co. (Omaha, Neb.), Calabasas, Calif. Effective Dec. 22, the company merged into Far West Insurance Co., which is the survivor.

Crystal Lake-Utica Mutual Insurance Co., Berlin, Wis. On Feb. 1, the company was merged into Manitowoc Mutual Insurance Co., Whitelaw, Wis.

Dependable Protective Mutual Risk Retention Group Inc., Tallahassee, Fla. Effective Jan. 1, the company merged into Podiatry Insurance Company of America (RRG), a mutual company, Brentwood, Tenn.

Developers Insurance Co., Irvine, Calif. On Dec. 29, the company merged into its subsidiary, Developers Surety & Indemnity Co.

Douglas Farm Mutual Insurance Co., Parkston, S.D. On June 16, the company merged into Dakota Farm Mutual Insurance Co., which is the survivor.

Farmers Mutual Insurance Association of Seneca County Ohio, Tiffin, Ohio. Effective Oct. 1, the company merged into Ohio Mutual Insurance Co.

ManagedComp Insurance Co., Waltham, Mass. Effective Aug. 22, the company was dissolved.

Mid-Atlantic States Casualty Co., Blue Bell, Pa. On July 26, the company voluntarily surrendered its certificate of authority to the Pennsylvania Department of Insurance. On Sept. 29, the request to dissolve was approved.

Unistar Insurance Co., Dallas. On Feb. 15, the company was placed into conservation by the Texas Department of Insurance and into permanent receivership on April 18.

United Lloyds Insurance Co., Dallas. Effective Aug. 3, the company was dissolved.

Upper Peninsula Insurance Co. (Phoenix), Chicago. The company surrendered its certificate of authority and dissolved with the approval of the Arizona Department of Insurance on Feb. 23.

USF&G Founder's Insurance Co. (Baltimore), St. Paul, Minn. Effective June 23, the company was dissolved.
