Albert Fisher Seafoods

Albert Fisher has brought all its seafood interests together into one division, to be called Albert Fisher Seafoods. This new division encompasses Vassallo Seafoods, Sea Products International, Morubel, La Couronne and Roem Van Yerseke.

Heading up this new division is Ian Player, formerly chairman of Fisher Frozen Foods when it joined the Albert Fisher group a year and a half ago. The former managing director of Campbell's UK seafoods operations, Andy Tyson, will work with Mr Player as seafoods development director.

We understand the five companies within the division will each continue to have its own management team.

Unigate Acquires Sussex Dairies

Unigate Plc announced, through their milk division, they have acquired the business of Sussex Dairies of Southwick, which operates on the South Coast.

Sussex Dairies currently tells 160,000 pints a day, and operates from eight distribution depots supplied from their processing dairy at Southwick.

RHM Gain Mill In Holland

RHM has announced that agreement has been reached to acquire all the shares of Van der Zande Meelfabriek De Waal BV. This family-owned flour milling business is based in Beneden-Leeuwen and Oss.

Sidlaw Acquires Falcon

Sidlaw Packaging, a division of the Sidlaw Group Plc, has acquired Evesham-based Falcon Packaging Ltd. As many readers will know, Falcon is a flexo printer/converter supplying film-based flexible packaging to manufacturers of food.

Avonmore to Acquire Master Pork

Avonmore Foods Plc tell us they have reached agreement to acquire the Master Pork Group. This is being achieving by acquiring the entire share capital held by Mr Paachal Phelan in Master Pork Ireland Ltd, National Pork Farms Ltd, Master Pork Processors Ltd and Master Pork Packers Ltd, that together make-up the Master Pork Group.

On completion of this deal, Avonmore will own 49 percent of the Master Pork Group, the remainder being held by investors.

Hillsdown/Heinz in Hungarian Deal

Hillsdown Holdings Plc have formed a joint venture with H J Heinz to acquire Kecskemeti Konzervgyar R T in Hungary. Kecskemeti is a state owned canning company located 50 miles of Budapest.

This joint venture is to be known as Magyar Foods Ltd.

Joint Venture for Avonmore Foods

Avonmore Foods Plc have established a joint venture company with Nograd Tej Kft of Paszto in Hungary. Avonmore has a 75 percent interest in the new company, Avonmore Paszto Kft, the remaining 25 percent is held by Nograd.

Avonmore Paszto in turn has acquired the assets of a dairy business at Paszto, some 80km North of Budapest. Currently, this business processes some 6 million gallons of milk a day and the new joint venture company plans significant development of the liquid milk business. A mozzarella pizza cheese factory will also be established to service the market in Eastern Europe and the Middle East.

The consideration, payable in cash, for the assets by Avonmore Paszto is IR|pounds~504,000 and a further IR|pounds~1,161,000 will be invested in upgrading the liquid milk plant and establishing the mozzarella factory.

Avonmore Paszto is to be managed by Zoltan Szeplaki, the former managing director of Nograd.

Unigate Selling US Cheese Business

Unigate has agreed to sell its US cheese business to Stella Foods, the US cheese operation of Artal NV. This agreement will result in the withdrawal by Unigate from the manufacture and sale of cheese in the US.

Unigate's US cheese operations comprise Frigo Cheese in Wisconsin and Gardenia Foods in California.

The estimated consideration for the transaction, depending on the working capital at completion, is US$75m., payable in cash.

Niro Buys Damrow Co

Niro A/S of Denmark has announced its subsidiary, Niro Hudson Inc, has acquired Damrow Co Inc of Wisconsin, including its drying division at Kolding in Denmark and its workshop facility, the Sterner Division, at Winsted in Minnesota.

Through this acquisition, Niro has taken overall Damrow's spray drying activities and Niro Hudson has established a separate Niro Filtermat Division in Fond du Lac, Wisconsin, to market Filtermat technology in North America, whilst the Niro Filtermat Division of Kolding will be responsible for marketing this technology to Europe and the rest of the world through Niro in each country.

Through its new subsidiary, Niro-Sterner Inc, Niro has sold the cheese equipment and related activities of the former Damrow company to a newly formed company, Damrow Inc, which operates out of the former Damrow Co Inc's premises in Fond du Lac.

Tetra Laval is the new Name

At the beginning of next year Tetra Pak and Alfa-Laval are to unite as a new global entity called Tetra Laval Group. This new name follows on from the acquisition of Alfa-Laval by Tetra Pak last year.

This new group will comprise four industrial groups - Tetra Pak International, Tetra Laval Food, Alfa Laval Industry and Alfa Laval Agri.

Tetra Pak International will continue to develop, manufacture and market packaging systems for liquid foods, and will be expanded to include the liquid food processing operations of Alfa-Laval Food. Uno Kjelberg remains as president and chief executive officer.

Tetra Laval Food will focus on non liquid food processing and packaging systems for products including ice cream, convenience food and margarine. Nils Bjorkman, currently managing director of Tetra Pak UK, has been appointed as president and chief executive officer of Tetra Laval Food.

Alfa Laval Industry will specialise in products such as heat exchangers, centrifugal separators, dosing and flow equipment, and computer-based control and monitoring systems. Gunnar Brock, currently executive vice president Tetra Pak International and president of Tetra Pak Europe, has been appointed as president and chief executive officer of Alfa Laval Industry.

Alfa Laval Agri will focus primarily on equipment and a full range of services for livestock farmers, with products including automatic milking machines and microprocessor-controlled animal feeding systems. Staffan Bohman, currently head of Alfa-Laval's agri business, has been appointed president and chief executive officer of Alfa Laval Agri.

At the beginning of next year Dr Hans Rausing will leave his position as group chief executive officer as Lars Hallden, currently president of the Alfa-Laval Group, has been appointed to that position. Dr Hans Rausing and Dr Gad Rausing will be chairman and vice chairman, respectively, of the new Tetra Laval Group Board.
