CURTICE BURNS FOODS ANNOUNCES POTENTIAL SALE OF NATIONAL OATS BUSINESS

 ROCHESTER, N.Y., July 19 /PRNewswire/ -- Curtice Burns Foods (AMEX: CBI), a food processor, today announced that it has signed a letter of intent to sell the oat milling portion of the National Oats division, based in Cedar Rapids, Iowa, to the Ralston Purina Company (NYSE: RAL). Terms of the sale were not disclosed.
 The transaction is subject to the negotiation of a definitive agreement of sale and the approval of the boards of directors of Ralston Purina, Curtice Burns and its companion organization, Pro-Fac Cooperative, Inc., which owns the fixed assets used in the business.
 Under the proposed agreement, Curtice Burns would retain the popcorn business of National Oats, whose labels include 3-Minute Brand, Super- Pop, Pops-Rite and Popeye.
 In discussing the potential sale, Curtice Burns President J. William Petty said, "To remain competitive in the food business, we must concentrate on our core product lines. This potential sale reflects the increased efforts to more tightly focus our business."
 Curtice Burns acquired National Oats in January 1980 from the Liggett Group, along with National Oats' sideline business, Dura-Buket. Dura-Buket was sold to Maxi-Lift, Inc., of Carrollton, Texas, on March 4, 1993.
 Curtice Burns Foods processes and markets 24 product lines of regional branded, private-label and foodservice products through nine autonomously managed divisions and 55 plants and warehouses located throughout the United States and Western Canada.
