 JOINT VENTURE AND LICENSING AGREEMENT
 GOLDEN, Colo., Dec. 9 /PRNewswire/ -- Coors Brewing Co., a wholly owned subsidiary of Adolph Coors Co. (NASDAQ: ACCOB), and Scottish & Newcastle Breweries plc, a leading brewing company headquartered in Edinburgh, Scotland, have reached an agreement in which Scottish & Newcastle will brew Coors Extra Gold under license. The companies also have entered into a joint venture to create a marketing and promotion company in the United Kingdom.
 The joint venture company will be named Coors U.K. With planned headquarters in Edinburgh, Scotland, Coors U.K. will be responsible for all marketing and promotion activities of Coors products which will be brewed under license by Scottish & Newcastle. Coors Extra Gold will be distributed in the United Kingdom through the Scottish & Newcastle distribution system.

 Scottish & Newcastle will begin brewing Coors Extra Gold for distribution in late 1992. Under the direction of Coors U.K., advertising will be handled by Burkitt, Weinreich, Bryant & Clients, Ltd., one of Scottish & Newcastle's current advertising agencies.
 Scottish & Newcastle Breweries is a diversified company which brews a number of popular brands, including McEwan's Lager, McEwan's Export and Newcastle Brown Ale. The company also is in the wine and spirits market, operates inns and pubs, as well as leisure and amusement facilities throughout Europe.
 The third-largest brewer in the United States, Coors' products are brewed under license and marketed in Canada by Molson Breweries Inc. and in Japan, by Asahi Breweries Ltd.
 In addition, Coors currently exports its products to overseas markets, including Greece, Guam, Puerto Rico, the U.S. and British Virgin Islands, Bermuda and 250 U.S. military bases located throughout the world.
 Coors has announced its intent to build and operate a brewery in the Republic of Korea through a joint venture with Jinro Ltd., a diversified food, beverage, industrial and financial services company based in Seoul. Coors also plans to begin exporting its products to the Cayman Islands by mid-December.
