 CONTROL DATA SYSTEMS AND SILICON GRAPHICS FINALIZE AGREEMENT
 FOR SILICON GRAPHICS' INVESTMENT IN CONTROL DATA SYSTEMS
 MINNEAPOLIS, Aug. 3 /PRNewswire/ -- Control Data Systems, Inc. (NASDAQ: CDAT) announced today it has finalized an agreement with Silicon Graphics, Inc. (NYSE: SGI) for Silicon Graphics' purchase of 10 percent equity in Control Data Systems. Control Data Systems was spun off from its parent company, Ceridian Corporation (NYSE: CEN), on July 31, 1992, and begins trading on NASDAQ today on a "when issued" basis under the symbol "CDAT."
 The Control Data Systems spin off will be in the form of a 100 percent dividend distribution with current Ceridian shareholders receiving one share of Control Data Systems stock for every four shares of Ceridian stock owned.
 The Control Data Systems stock held by Silicon Graphics will be subject to certain restrictions on its disposition, and Silicon Graphics will name a representative to Control Data's new board of directors -- Mark Perry, vice chairman of Silicon Graphics.
 Ceridian Corporation (formerly Control Data Corporation) announced its intent to divide into two independent companies on May 27, 1992, at which time the company announced Silicon Graphics' intent to purchase 10 percent of Control Data Systems once it became an independent company.
 The two companies also signed a letter of intent in May to enter expanded joint marketing and technology sharing agreements, which are in the process of being finalized. Control Data has had an OEM relationship with Silicon Graphics since 1986, and will continue to base its workstation and server product offering primarily on the MIPS/ARC RISC technology.
 Control Data Systems has headquarters in Arden Hills, Minn. and offers computer products and services in 40 countries worldwide. The company integrates high-performance computer solutions for technical markets and provides integrated products to manage large, complex databases and communications networks for governments and commercial markets. Its major strategic partners include Silicon Graphics, NEC Corporation, Volkswagen and Intergraph Corporation.
