Merger Focuses Resources on Powerful Solutions
 for Client/Server Data Center Management
FARMINGTON HILLS, Mich., Aug. 31 /PRNewswire/ -- Compuware Corporation (NASDAQ-NMS: CPWR) today announced it has completed the acquisition of EcoSystems Software, Inc., a privately held computer software company based in Cupertino, Calif. The merger reshapes the fast-growing open systems management software market, placing Compuware firmly at the forefront.
The EcoSystems/Compuware merger musters formidable development, marketing, and distribution resources on behalf of EcoTOOLS(TM) and EcoSPHERE(TM) -- EcoSystems' comprehensive, integrated software solutions for managing client/server data centers. EcoSystems began production shipment of EcoTOOLS and EcoSPHERE in December 1992.
Starting today, EcoSystems will operate as a dedicated line of business within Compuware's Software Products Division. Compuware is a $235 million provider of productivity tools for multiple platforms including mainframe, PC/LAN and now, open systems. Development and support of the EcoSystems product line will continue to be located in Cupertino.
Compuware now has dedicated EcoSystems account executives in its local offices in North America and Europe. Distributors will cover other geographic areas. The company intends to augment these direct distribution channels through alternative channels including systems integrators and partnerships with software and hardware vendors.
The acquisition will be accounted for as a pooling of interests, with Compuware issuing 740,000 shares of its common stock to the shareholders and optionholders of EcoSystems.
"The combined expertise of EcoSystems and Compuware delivers the products, the technology, the resources, and the experience to help open systems customers manage their computing environments seven days a week, 24 hours a day," said Joe Nathan, chief operating officer of Compuware's Software Products Division. "We are delivering practical client/server systems management solutions today, and have the framework that is critical for providing customers with additional management and productivity solutions in the future. This unique combination is unrivaled in the industry."
"The EcoSystems merger is a logical extension of our corporate mission: helping our customers implement their business applications more productively," said John Williams, executive director of client/server computing for Compuware. "Companies are deploying mission-critical applications based on UNIX relational databases, and Compuware is dedicated to helping them manage their systems around the clock."
EcoTOOLS is the most comprehensive client/server systems management software available that provides integrated management of relational database applications, UNIX systems, and networks from a central, graphically based management console. EcoTOOLS is based upon the EcoSystems open systems management framework, called EcoSPHERE. The products monitor for faults or performance bottlenecks in a client/server environment and provide proactive alarming and correction.
"By backing the EcoSystems products with Compuware's considerable resources and two decades of experience, the company is greatly accelerating and enhancing product development," said Ching-Fa Hwang, vice president of engineering for the EcoSystems products and a co-founder of EcoSystems. "This will lead to the imminent delivery of additional systems management modules and support for an even broader variety of client and server platforms."
EcoTOOLS Version 2.0 is currently shipping. From a Motif-based management station, EcoTOOLS Version 2 can manage ORACLE running on UNIX systems from HP, IBM, Sequent, Solbourne and Sun; TCP/IP networks; and UNIX, PC, or terminal clients. Support for SYBASE and INFORMIX servers is under development. Product pricing starts at $16,000 and is based on specific systems configuration.
Compuware Corporation, headquartered in Farmington Hills, develops, markets and supports an integrated set of systems software products which improve the productivity of data processing professionals in application implementation and maintenance through program testing, fault diagnosis, data management, and error correction. The EcoSystems team, based in Cupertino, is devoted to designing, developing and marketing the industry's most comprehensive systems management software solution for UNIX database applications and client/server data center operations.
