 COMPREHENSIVE CARE CORP. TO ACQUIRE MANAGED CARE COMPANY
 ST. LOUIS, Oct. 28 /PRNewswire/ -- Comprehensive Care Corp. (NYSE: CMP) ("CompCare") today announced that it has entered into an agreement in principal to acquire Mental Health Programs Inc. ("MHP") which is a managed care company based in Tampa, Fla.
 Commenting on the agreement, Richard W. Wolfe, president and chief executive officer of CompCare, said: "The acquisition of Mental Health Programs is an extremely important step in Comprehensive Care's future growth. MHP will be converted into CompCare's new managed care company called AccessCare. By the end of this fiscal year (May 31, 1993) AccessCare will be providing managed care services covering in excess of 1 million lives. AccessCare will provide a full range of behavioral health care services including wellness, health promotion, employee assistance programs, inpatient, partial hospitalization, outpatient mental health services, as well as substance abuse counseling services. The company will offer the payer a unique opportunity to design customized behavioral health programs benefits and the ability to purchase the services from one source. AccessCare will become an affiliate of CompCare's current hospital and contract management divisions and will create what may be the first fully integrated behavioral medicine company in America."
 Wolfe continued: "Of utmost importance, AccessCare means cost- effective care. Services will be delivered at the most appropriate level, and will thus be the most cost effective available to the payer. It is care whose outcome and satisfaction can be measured, predicted and verified. It is care that is both clinically and financially managed. With the acquisition of MHP, CompCare will be poised to evolve into a diversified full service health care delivery system.

 The acquisition of MHP, which is subject to the approval of the Comprehensive Care board of directors, should occur on or before Jan. 1, 1993.
