 COMPAQ AND BANYAN SIGN DEVELOPMENT AGREEMENT
 HOUSTON, Feb. 20, /PRNewswire/ -- Compaq Computer Corporation


(NYSE: CPQ) today announced a Joint Development Agreement (JDA) with Banyan Systems Incorporated that enables the companies to jointly develop and implement new features for COMPAQ Personal Computers and PC Systems operating in Banyan VINES environments.
 The agreement builds upon the significant relationship Compaq and Banyan have developed since signing a Joint Integration Agreement (JIA) in 1990. The companies are now taking the next step in providing customers with timelier, optimized support for COMPAQ products.
 Under the JDA, Compaq and Banyan will participate more actively in each others' product development processes, designate cooperative development teams, and exchange source code to facilitate these efforts.

 James D'Arezzo, Vice President of Marketing for Banyan Systems, Inc., pointed out the benefits this new agreement holds for customers.
 "This agreement holds tremendous potential for us to offer new products and services to our end users," said D'Arezzo. "Together, we can provide VINES users access to high performance COMPAQ server platforms, as well as other functions such as system management. Ultimately, this will result in greater network flexibility and security."
 PRODUCT DEVELOPMENT
 Banyan VINES 4.11, which brought the power and flexibility of VINES to new levels, exemplifies how the two companies work together to meet customer needs. Compaq engineers worked closely with Banyan engineers on the compatibility, functionality and kernel stability testing of these new products.
 Compaq and Banyan jointly developed the COMPAQ Enhanced Intelligent Drive Array driver incorporated into Banyan VINES, as well as the drivers for the COMPAQ Intelligent Array Expansion System, the COMPAQ 1.3/2.0 Gigabyte Digital Audio Tape (DAT), the COMPAQ 320/525 Megabyte Tape Drive, and the Novell NE 3200 32-bit busmaster EISA Ethernet card adapter.
 Compaq and Banyan are now co-developing integrated VINES support for the COMPAQ System Manager, a hardware and software monitoring device that allows remote access to COMPAQ servers. Additional support, available from Banyan in a future release of VINES, will allow the COMPAQ System Manager to monitor more data from the Banyan VINES Operating System, such as disk usage, file system and cache use, and memory allocation status. The hardware measuring and monitoring features of the COMPAQ System Manager are already supported in current VINES environments.
 A HISTORY OF TEAMWORK
 Since Compaq and Banyan began their close working relationship, they have signed both a Joint Integration Agreement and a Technical Support Alliance. In addition, they have completed a number of joint projects which include:
 * Cross-training of hotline and other technical support
 personnel, providing increased solutions-based support
 from both companies;
 * Designation of Compaq as a Banyan certification site,
 allowing for more timely certification of new
 COMPAQ/VINES server solutions;
 * Development of several integration support programs:
 -- Reseller programs allowing COMPAQ/VINES users to
 identify those dealers who offer advanced service
 and support for Banyan and COMPAQ products (The
 Compaq Reseller Locator phone number is (1-800-
 231-0900);
 -- The Compaq and Banyan Integration ToolKit series,
 a networking "cookbook" packed with information on
 the configuration, tuning and optimization of
 VINES/COMPAQ servers;
 -- Integration Training, a companion to the
 Integration ToolKit series, providing hands-on
 experience with VINES/COMPAQ server solutions;
 * Cooperative efforts at networking events, including
 trade shows such as NetWorld and the Association of
 Banyan Users International (ABUI), The Banyan Corporate
 Seminar Series and Compaq Systems Engineering
 Conferences;
 * VINES demonstrations at Compaq Regional Technology
 Centers around the country; and
 * Development of VINES SMP as the first symmetric
 multiprocessing network operating system for the
 industry-leading COMPAQ SYSTEMPRO.
