COMMUNICATIONS SYSTEMS COMPLETES AUSTIN TAYLOR ACQUISITION
HECTOR, Minn., Feb. 3 /PRNewswire/ -- Communications Systems, Inc. (NASDAQ: CSII) (CSI) today announced it completed the acquisition of Austin Taylor Communications, Ltd., a Bethesda Wales U.K. manufacturer of voice and data connector products, effective Feb. 1, 1992. Shareholders of Austin Taylor received 5,000 shares of CSI common stock and will receive additional payments over the next five years based upon Austin Taylor's profits.
CSI has also invested $1,250,000 in cash in Austin Taylor and has guaranteed a bank credit line of $400,000. These funds will be used to pay down Austin Taylor's existing debt and for working capital purposes. Austin Taylor has not been profitable for the last several years following unsuccessful efforts to diversify into the digital PABX and telephone set market.
Company management believes there is a high degree of compatibility between CSI and Austin Taylor product areas. The company expects to expand sales of CSI products into the United Kingdom and other European Economic Community nations through Austin Taylor's existing marketing and distribution networks. The company also expects to market Austin Taylor products to CSI's North American customers using the company's existing sales staff.
CSI, headquartered in Hector, is principally engaged in the manufacture and sale of connecting devices for telephone equipment.
