COMDISCO ANTICIPATES FILING WITH SEC $100M CUMULATIVE PREFERRED ISSUE;
 ANTICIPATES ISSUING $100M SENIOR NOTE OFFERING
 ROSEMONT, Ill., Aug. 20 /PRNewswire/ -- Comdisco, Inc. (NYSE: CDO) announced today that it intends to file with the U.S. Securities and Exchange Commission (S.E.C.), during the week of Aug. 24, 1992, a registration statement relating to a public offering of $100 million of cumulative preferred stock. The offering will be made only by means of a prospectus. The company stated that the preferred stock issue will be perpetual, not subject to any mandatory redemption but callable at the company's option at the end of five years.
 The company also stated that it anticipates issuing approximately $100 million of Senior Notes during the week of Aug. 24, 1992. The company currently has on file with the S.E.C. a shelf registration of $500 million for Senior Debt Securities. The offering will be made only by means of a prospectus. Proceeds from the above transactions will be used, in part, to redeem all of the company's remaining 9.65 percent Subordinated Debentures, currently outstanding in the amount of $150 million.
 The registration statement relating to the cumulative preferred stock has not yet been filed and the offering will be made only by means of a prospectus. These securities may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective. This announcement does not constitute an offer to sell or the solicitation of an offer to buy nor will there be any sale of these securities in any state in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of any such state.
 Comdisco's common stock is listed on the New York and Midwest Stock Exchanges.
