 COMCAST'S CELLULAR SUBSIDIARY FILES REGISTRATION STATEMENT
 FOR $1 BILLION OF SENIOR PARTICIPATING ZERO COUPON NOTES
 PHILADELPHIA, April 10 /PRNewswire/ -- Comcast Corporation (NASDAQ-NMS: CMCSA, CMCSK) today announced that Comcast Cellular Corporation, its recently formed wholly owned subsidiary, has filed a registration statement with the Securities and Exchange Commission registering the sale by Metromedia Company of $500,493,000 principal amount of Comcast Cellular's Series A Senior Participating Zero Coupon Notes Due March 5, 2000, and $500,493,000 principal amount of Comcast Cellular's Series B Senior Participating Zero Coupon Notes Due March 5, 2000.
 Neither Comcast nor Comcast Cellular will receive any proceeds from the offering.
 Comcast is principally engaged in the development, management and operation of cable communications systems. Comcast Cellular is engaged in the construction, development, management and operation of cellular telephone systems in a contiguous geographic area which includes the Philadelphia area, portions of New Jersey and the state of Delaware.
 Metromedia has retained Donaldson, Lufkin & Jenrette Securities Corporation, Lehman Brothers, and Morgan Stanley & Co. Incorporated as the proposed underwriters for the offering.

 A registration statement relating to the notes has been filed with the Securities and Exchange Commission but has not yet become effective. The notes may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective.
