COLUMBIA HEALTHCARE CORPORATION AND HCA - HOSPITAL CORPORATION OF AMERICA RECEIVE SECOND REQUEST

LOUISVILLE, Ky., and NASHVILLE, Tenn., Nov. 17 /PRNewswire/ -- Columbia Healthcare Corporation (NYSE: COL) and HCA - Hospital Corporation of America (NYSE: HCA) today jointly announced that earlier today they each received a limited request for additional information, called a "second request", on specific markets from the Federal Trade Commission. The second request is a result of their Hart-Scott-Rodino filings made in October on the proposed merger between the two companies.
The Companies believe that the second requests are not material to the ongoing operations of either company, or to the proposed merger transaction, and they intend to comply with the second request promptly. The specific markets for which requests were made are not being disclosed. The Companies do not anticipate that the limited second request will delay the merger, which is currently expected to close in the first quarter of 1994.
Columbia and HCA jointly announced signing a definitive agreement to merge in a tax- free stock-for-stock transaction on October 2, 1993. The proposed merger of Columbia and HCA will create the largest healthcare provider in the nation, operating over 190 acute-care and specialty hospitals with complementary outpatient healthcare services, with estimated annual revenues of over $10 billion.
Columbia is building comprehensive healthcare networks consisting of acute-care and specialty hospitals, as well as comprehensive outpatient services in its local markets, which is well-suited for the combination of the hospitals owned by HCA. These networks share administrative costs, expensive medical equipment and personnel, and reduce excess capacity in order to deliver healthcare services efficiently.
