 CODE-ALARM ESTABLISHES FOUNDATION FOR THE FUTURE
 MADISON HEIGHTS, Mich., May 21 /PRNewswire/ -- Rand Mueller,


president, chairman and CEO of Code-Alarm, Inc. (NASDAQ-NMS: CODL), announced at the May 19, 1992, annual meeting of shareholders a firm foundation was established in 1991 for the company's future.
 "Our expansion into the home security industry, coupled with the formation of the Code-Alarm Europe venture and the recent consolidation of our Tessco Group, Inc. subsidiary into its new 60,000-square-foot facility, have us well-positioned and on track to be the world-class leader in the security industry," Mueller said to the audience of shareholders.
 "The company has a major advantage over competitors in that we are the only supplier in the industry to manufacture all of our security products and accessories, including the first American-made siren, at facilities based in the United States," he added.
 At the Annual Meeting, two members of the Code-Alarm Board of Directors were re-elected for a three-year term. Kenneth M. Mueller, director and director of Investor and Public Relations, was re-elected to the board. Jack C. Chilingirian, director and general counsel in private practice, was also re-elected to serve on the seven-member board. Coopers & Lybrand was appointed as Independent Certified Accountants to audit the books and records of the company for the year ending Dec. 31, 1992.
 Additionally, the proposed Amendment to the company's 1987 Stock Option Plan to increase the number of shares available for issuance by 100,000 additional shares was approved at the fifth Annual Meeting of Shareholders.
