 TALLAHASSEE, Fla., Dec. 7 /PRNewswire/ -- CMS/DATA Corporation (NASDAQ: LAWR) announced today that its principle shareholder, The Quartex Corporation ("Quartex"), as part of its previously announced reorganization, has executed a definitive agreement providing for the merger of Quartex's newly formed wholly owned subsidiary, CMS Acquisition Corp., into CMS/Data Corporation. Quartex currently owns and has voting control over approximately 65 percent and 80 percent, respectively, of the outstanding CMS shares. The merger is subject to approval by CMS and Quartex shareholders, regulatory approvals and other customary conditions. In the merger, CMS public shareholders will receive 5.6 shares of Quartex common stock for each CMS common share. As part of the reorganization, all of the outstanding shares of Quartex will be reclassified, on a one-for-one basis, into common voting shares of Quartex. After consummation of the merger, Quartex will own 100 percent of CMS/Data Corp.
 All of the foregoing transactions were reviewed and are recommended by independent committees of the boards of directors of CMS and Quartex.
 Management of CMS/Data and Quartex stated that "with the execution of the merger agreement behind us, we can now proceed with our plans to combine the operations of both companies and take advantage of consolidating the various technical, sales and marketing and management expertise into one strong focused international organization.  PC DOCS has just recently been selected by Computer Reseller News as "Editor's Choice" for document management. PC DOCS' other awards include PC Magazine Editor's Choice Award for June 1993 and Wordperfect Magazine's Readers Choice Award for 1992. An article published in Computerworld Magazine on Oct. 11, 1993 stated that the Document Management Market, valued at approximately $52 million for 1992, was expected to be valued at more than $400 million by 1996 according to International Data Corp. In order to capitalize on this projected market growth, the company is making substantial investments in expanding technical, development, support, and sales and marketing departments. PC DOCS has extended its dealer network beyond North America in order to strategically position itself for the growth of the Document Management Market in England, Europe, Australia and the Far East. PC DOCS will be releasing PC DOCS OPEN Version 2.0 in January 1994. This next release contains a number of features which should enable the company to stay ahead of the competition. The company is particularly optimistic about the new "Mobile" mode which allows users portability for document management.
