CITIZENS NATIONAL CORPORATION SHAREHOLDERS APPROVE AMSOUTH BANCORPORATION'S OFFER TO ACQUIRE CITIZENS

 NAPLES, Fla., Jan. 11 /PRNewswire/ -- Shareholders of Citizens National Corporation (NASDAQ-NMS: CNCN), parent company of Citizens National Bank of Naples, voted today to approve AmSouth Bancorporation's offer to acquire Citizens National Corporation.
 AmSouth reached a definitive agreement to acquire Citizens National Corporation in August 1993, and anticipates completing the acquisition during the second quarter of 1994, pending completion of regulatory approvals.
 "We are delighted that our shareholders confirmed the Board's decision that our affiliation with AmSouth will be in the best interests of our shareholders, our customers and the citizens and businesses of Collier County," states Citizens National's Chairman of the Board Walter R. Rogers.
