 CITICORP ANNOUNCES OFFERING
 NEW YORK, March 13 /PRNewswire/ -- Citicorp (NYSE: CCI) announced


today a proposed offering of approximately 6 million depository shares of perpetual preferred stock at $25 per share. The offering is anticipated to add $150 million to Citicorp's Tier I capital.
 This proposed sale is part of Citicorp's previously announced plan to strengthen its capital position.
 In this domestic offering Merrill Lynch & Co. is acting as lead manager for the syndicate. Co-managers are Dean Witter Reynolds Inc., the First Boston Corporation, Kidder Peabody & Co., Morgan Stanley & Co. Incorporated and Smith Barney, Harris Upham & Co. Incorporated. Following consummation of the offering, an application will be made to list the shares on the New York Stock Exchange. It is anticipated that the final terms will be set during the week of March 16, 1992, subject to market conditions.
