CIMFLEX TEKNOWLEDGE TO SELL AUTOMATED FACTORIES DIVISION

 PITTSBURGH, March 10 /PRNewswire/ -- Cimflex Teknowledge Corporation (NASDAQ-NMS: CMTK) today agreed to sell the assets of its Automated Factories Division (AFD) to Flexpack Corporation, a wholly owned subsidiary of Julius Capital Partners, L.P.
 AFD, located in Franklin, Mass., manufactures and sells flexible assembly and packaging systems which utilize its expertise in robotics and motion control. In connection with the purchase, Flexpack will assume warranty and performance obligations under outstanding contracts of AFD.
 The Cimflex board of directors approved the transaction at its regularly scheduled board meeting today in Pittsburgh. Closing of the sale is subject to certain conditions, including purchaser's completion of due diligence, obtaining consents for acquired assets and contracts, and obtaining a satisfactory lease on operating facilities.
 Payment for the transaction will be made over time subsequent to the closing. The purchase price includes assumption of certain liabilities, approximately $160,000 in direct cash payments, and potential royalty payments contingent on future Flexpack sales.
 In announcing the sale Frederick Hayes-Roth, Cimflex chairman and CEO, stated, "We are delighted to have found a skilled, knowledgeable, well-funded buyer for this business. This should enhance the near- and long-term prospects for AFD and create significant opportunities for the growth of its business. At the same time, divesting this automation equipment business will support Cimflex's transition to a pure software firm, specializing in intelligent design, systems engineering, and manufacturing solutions. Cimflex's remaining two units address these markets with software products and system development services."
 Julius, a Chicago-based investment firm, specializes in acquiring and operating middle-market manufacturing and value-added distribution businesses. Michael J. Schierl, a principal of Julius and Flexpack's CEO, stated that he is eager to close the deal and begin expanding the customer base of Flexpack. "We plan on exploiting the outstanding core competence of this group in robotics and flexible automation. Our strategy will be to focus on customer satisfaction, product quality and reliability, and cost performance."
 Cimflex is publicly traded on the NASDAQ National Market System under the ticker symbol CMTK.
