CHILDREN'S DISCOVERY ANNOUNCES PROPOSED PUBLIC OFFERING

 SAN RAFAEL, Calif., Oct. 20 /PRNewswire/ -- Children's Discovery Centers of America Inc. (NASDAQ: CDCRA) today announced that it has filed a registration statement with the Securities and Exchange Commission with respect to a proposed offering of 1,343,125 shares of its Class A Common Stock. Of the shares offered, 850,000 are to be issued by the company and the remaining 493,125 shares are to be sold for the account of a trust established by The Prospect Group Inc., a publicly-held company which transferred those shares to the trust in connection with a plan of liquidation adopted by Prospect in 1990.
 Children's Discovery Centers operates 152 centers in the northeastern, Mid-Atlantic and western United States, and operates job site child care centers for employers.
 A registration statement relating to these securities has been filed with the Securities and Exchange Commission but has not yet become effective. These securities may not be sold nor may offers to buy be accepted prior to the time the registration statements become effective.
