 CHEMDESIGN AND HEXCEL AGREE TO TERMINATE CURRENT NEGOTIATIONS
 ON THE ACQUISITION OF HEXCEL'S CHEMICAL PRODUCTS DIVISION
 FITCHBURG, Mass., Dec. 6 /PRNewswire/ -- ChemDesign Corporation (NASDAQ: CDCC) today announced that ChemDesign and Hexcel Corporation (NYSE: HXL) have terminated current negotiations on the proposed acquisition by ChemDesign of Hexcel's U.S.-based chemical products division located in Zeeland, Mich. The parties have been unable to reach a definitive agreement and believe that further negotiations would be unlikely to result in an agreement acceptable to both parties within an appropriate time period.
 A ChemDesign spokesman expressed disappointment that the parties were unable to reach agreement and complimented Hexcel for the high level of cooperation demonstrated by Hexcel personnel during the negotiations.
