CHECKPOINT AND SENSORMATIC REACH AGREEMENT COVERING VARIETY OF BUSINESS ISSUES; CHECKPOINT TO ACQUIRE EUROPEAN DISTRIBUTOR

 THOROFARE, N.J., June 28 /PRNewswire/ -- Checkpoint Systems, Inc. (OTC: CHEK) today announced that it has reached agreement with Sensormatic Electronics Corporation (NYSE: SRM) covering several areas of business activity between the two companies.
 The agreement calls for the termination of the European distributorship agreement between Checkpoint and Sensormatic, together with a $3.5 million termination payment to Checkpoint. Sensormatic became Checkpoint's European distributor in May of 1992 when it acquired Checkpoint's previous distributor in Europe.
 Sensormatic will drop its lawsuit against Checkpoint, which was filed following the appearance of Checkpoint advertisements in Billboard magazine in January 1993. Both sides agree that they will refrain from negative sales activities in the future.
 Checkpoint and Sensormatic have also agreed to cross-license their respective radio frequency and acousto-magnetic technologies, in the case that either of these technologies is adopted as the standard or "technology of choice" for source tagging in a specific retail or business sector, such as supermarkets, mass merchandisers, or music stores (NARM).
 A. E. Wolf, Chairman and Chief Executive Officer of Checkpoint, said, "The termination of the distributorship agreement with Sensormatic provides Checkpoint with the opportunity to build its own marketing system in Europe."
 To that end, Checkpoint reported today that it has agreed to acquire ID Systems International B.V. and ID Systems Europe B.V., related Dutch companies engaged in the manufacture, distribution and sale of security products and services, which had consolidated sales of approximately $20 million in 1992.
 In addition to a direct presence in these important markets, the acquisition will provide Checkpoint with the combined product lines of both companies.
 Mr. Wolf said, "The acquisition of ID Systems represents a major step in Checkpoint's strategy to strengthen and build its presence in markets worldwide. Through transactions in the past year, Checkpoint has gained direct access to markets in Canada, Latin America and now Europe, and will continue to explore acquisition opportunities to enable Checkpoint to grow internationally.
 "Checkpoint's radio frequency technology is the most effective loss prevention system in the world today, and we will take advantage of every opportunity to broaden our markets for those products," Mr. Wolf concluded.
