CENTURY PARK PICTURES OFFERS TO ACQUIRE HARLEM GLOBETROTTERS, OTHER PROPERTIES

MINNEAPOLIS, Feb. 22 /PRNewswire/ -- Century Park Pictures Corporation (NASDAQ: CPPC) today announced it has offered $10 million in cash to acquire all the outstanding capital stock of International Broadcasting Corporation (IBC), owner of the "Harlem Globetrotters" basketball team, "Ice Capades" and other entertainment properties.
The offer was made to National Westminster Bank U.S.A., a subsidiary of National Westminster Bank PLC. The bank is the primary secured creditor of IBC, which is currently under Chapter 11 bankruptcy protection. IBC is expected to pass out of Chapter 11 protection in May of this year, at which time the bank will be the sole holder of all outstanding IBC shares. National Westminster already has reached a settlement with IBC's shareholders and unsecured creditors.
Thomas K. Scallen, chairman and chief executive officer of Century Park, said, "We believe that the Harlem Globetrotters and Ice Capades offer unique family entertainment. CPPC has considerable experience in managing these types of properties and we are confident that, with the benefit of that experience, this package of properties can be managed for profit and growth. We're looking forward to the bank's response to our cash offer."
Century Park's offer is subject to the execution of a mutually satisfactory definitive agreement. This would include the discharge of IBC's pre-petition liabilities and would require that none of IBC's key entertainment properties could be sold prior to closing of the transaction.
IBC's other properties are the Ice Chalets chain of family ice- skating rinks; and the Chanhassen Dinner Theatres, a complex of four Equity theaters in the Twin Cities area.
Century Park Pictures Corporation produces motion pictures, television specials, major live production shows for arenas, amusement parks, casinos and theaters.
