CENTEL COMPLETES SALE OF OHIO TELEPHONE OPERATION TO CENTURY
CHICAGO, April 1 /PRNewswire/ -- Centel Corp. (NYSE: CNT) announced today that it has completed the previously announced sale of its local exchange telephone operation in Ohio to Century Telephone Enterprises Inc. (NYSE: CTL) for $135 million, which includes $120 million in cash and $15 million in assumed debt.
Centel reached a definitive agreement with Century Telephone in November 1991, prior to Centel's announcement in January that it had retained two investment banking advisors to explore strategic alternatives to maximize shareowner value, including the possible sale of the company.
The Ohio operation, which has approximately 265 employees, serves nearly 64,000 access lines in Lorain and nearby communities along Lake Erie west of Cleveland. Century is retaining all of the employees of Centel of Ohio. The acquisition will increase Century's access lines served by 20 percent to more than 376,000.
Centel also operates cellular communications franchises in Toledo, Youngstown/Warren, Lima and Mansfield. The cellular properties are not affected by the sale to Century.
Centel, which had revenues of $1.18 billion in 1991, also provides local exchange telephone service through more than 1.5 million customer access lines in six states and operates cellular communications franchises in 38 other metropolitan markets in addition to the Ohio markets.
