CBT Agrees to Acquire Australian Distributor of Interactive Education Software.

MENLO PARK, Calif.--(BUSINESS WIRE)--Nov. 26, 1996--CBT Group, PLC (NASDAQ: CBTSY) today announced that it has agreed to acquire Applied Learning Limited (ALA), an Australian distributor of interactive education software and CBT's exclusive distributor in Australia and New Zealand. CBT has entered into an Implementation Deed with ALA and its founding shareholders pursuant to which CBT has agreed to become the owner of all issued ALA shares in exchange for approximately US$10 million in CBT's American Depositary Shares. ALA is based in New South Wales, Australia.

The acquisition is to be consummated through a Scheme of Arrangement under Australian law, and is subject among other things to the approval of the Supreme Court of New South Wales and a 75 percent vote of ALA shareholders. It is currently anticipated that the transaction will be accounted for as a pooling of interests and will close on or before the end of February 1997. No other terms of the acquisition were disclosed.

Included in the deal is ALA's Tarragon line of soft skills training products, which will expand CBT's courseware offerings to include training materials on developing management, sales, and leadership skills.

Earlier this year, CBT acquired CLS Group, a German-based developer and marketer of interactive education software for SAP client/server applications, and New Technology Training, a distributor in Canada.
