 CATERPILLAR COMMENTS ON UAW NEGOTIATIONS
 ST. LOUIS, Feb. 19 /PRNewswire/ -- The following was released today


by Caterpillar Inc.:
 Caterpillar negotiators met today with the UAW Bargaining Committee in an effort to end the stalemate. The company presented important enhancements to its contract proposal.
 Caterpillar's offer is significantly better than our previous proposal and the prior contract. We proposed improvements that would result in higher wages, full health care, improved pensions, and better job security. In addition, this proposed central agreement would remove concerns the union had expressed regarding contract structure.
 This proposal would enable Caterpillar to stay globally competitive from a U.S. base.
 We are disappointed to report that the UAW rejected our proposal completely. They stated that their position remained the same as it has been since the opening day of bargaining. They rejected the proposal after less than an hour's review.
 Caterpillar has made three good faith attempts to negotiate a contract. Each time, we've clearly expressed willingness to discuss how both parties can arrive at an agreement that is fair to our employees and makes sense for Caterpillar.
 Following the UAW's rejection of today's proposal, Caterpillar informed the union that the offer made today is the company's final offer.
