 CAPITAL HOLDING NAMES LEE ADREAN SENIOR VP - CFO;
 ROBERT WALKER AS VP - GENERAL COUNSEL
 LOUISVILLE, Ky., Dec. 19 /PRNewswire/ -- Capital Holding Corporation (NYSE: CPH) today named Lee Adrean senior vice president and chief financial officer.
 He replaces Theodore S. Rosky who has announced plans to take early retirement in April 1992. Rosky plans to devote more time to community activities in Louisville and with the Lutheran church at the national level. Until then, he will support the transition of responsibilities to Adrean.
 Irving W. Bailey II, chairman, president and chief executive officer of Capital Holding, said, "I have accepted Ted's decision to retire with sincere regret. Ted has helped shape the company as we know it today, as well as its future. I'm sure he'll contribute significantly to these other organizations with the same enthusiasm as he has shown here at Capital Holding."
 Adrean, 40, was formerly senior vice president - strategic planning and corporate development, responsibilities he will retain in his new position.
 Adrean joined Capital Holding from Bain & Company in September 1990. There he had been responsible for relationships with medium-sized clients and major divisions or groups of larger companies, including insurance and financial services companies.
 He graduated summa cum laude and was a member of Phi Beta Kappa at Bucknell University where he earned a bachelor of science degree in accounting. Adrean was a Baker Scholar at Harvard Business School where he earned an MBA in 1976.
 Since joining Capital Holding, Adrean has developed the company's strategic planning process and was instrumental in the recent acquisition of Durham Corporation.
 The company also named Robert L. Walker, 41, vice president and general counsel, replacing William J. Bosies, Jr. Bosies, with nearly 15 years of successful experience in Washington D.C., will refocus his efforts on government relations.
 Walker had formerly been vice president - corporate tax. He joined Capital Holding in 1988 following a series of increasingly responsible tax management positions with The Mead Corporation. He earned a bachelor of arts degree, with distinction, in economics from Transylvania University and a law degree from the University of Kentucky in 1974.
 Capital Holding Corporation is one of the nation's five largest shareholder-owned life insurance organizations, with $18.2 billion in assets and $44.3 billion of life insurance coverage in force.
 The corporation offers a broad range of financial services and products through agents, direct-marketing media, investment professionals and retail locations. Its common stock is listed on the New York and Pacific Stock Exchanges under the ticker symbol CPH; its preferred stock is listed on the New York Stock Exchange under the symbol CPHF.
