CANONIE ENVIRONMENTAL SERVICES CORPORATION ANNOUNCES PRIVATE SALE OF SHARES AND NEW DIRECTORS

 DALLAS, Dec. 31 /PRNewswire/ -- Canonie Environmental Services Corp. (NASDAQ: CANO), a leading provider of services for the remediation of hazardous waste sites, announced today that the previously announced agreement relating to the sale of 2,653,720 shares or approximately 46.5 percent of the outstanding shares of Canonie stock, by W. R. Grace & Co. to Smith Environmental Technologies Corporation has been completed.
 In conjunction with the purchase, four new directors, Mr. E. Brian Smith, Major General Hugh G. Robinson (Ret.), Mr. Robert L. Guyett, and Mr. Melvin H. Chiogioji will join the Canonia Board replacing those directors who had been initially appointed by W. R. Grace & Co. and Richard A. Zartler. Mr. Zartler will continue to serve the company as president and Mr. Smith will become chief executive officer effective Jan. 1, 1994. Smith Environmental Technologies Corporation has also entered into a standstill agreement with Canonie.
 Mr. E. Brian Smith was formerly president and chief operating officer of International Technology Corporation, one of the nation's largest hazardous waste remediation firms. Major General Robinson (Ret.) is presently chairman and chief executive officer of The Tetra Group, Inc., a construction management firm. Previously he served as division engineer for the U.S. Army Corps of Engineers and chairman, board of directors, Federal Reserve Bank of Dallas. Mr. Guyett is senior vice president and chief financial officer of Engelhard Corporation. Previously he served as chief financial officer at Fluor Corporation. Mr. Chiogioji has extensive experience in the nuclear power industry and previously served as construction manager and deputy director of the Office of New Production Reactors for the U. S. Department of Energy. He is also a Rear Admiral in the U. S. Naval Reserve.
