 LOS ANGELES, May 8 /PRNewswire/ -- Caesars World Inc. (NYSE: CAW)

today announced it has filed a shelf registration statement with the Securities and Exchange Commission (SEC) relating to $250,000,000 of the company's debt securities.
 The debt securities may be offered from time to time in one or more series and in the form of senior, senior subordinated or subordinated debt of Caesars World. The company said it has no immediate plans to issue any such securities but believes that, during these rapidly changing times, it should be in a position to take timely advantage of market opportunities if a decision is made to proceed.
 The registration statement relating to these securities has been filed with the SEC but has not yet become effective. These securities may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective. This communication shall not constitute an offer to sell or the solicitation of an offer to buy nor shall there be any sale of these securities in any state in which such offer, solicitation or sale would be unlawful prior to the registration or qualification under the securities laws of any such state.
 If the company decides to proceed with the offering, it currently intends to use the proceeds from the sale of such Caesars World debt securities, in whole or in part, to repay, redeem or repurchase outstanding indebtedness, including the company's 13 1/2 percent Subordinated Notes due 1997, and for general corporate purposes. The 13 1/2 percent Subordinated Notes are presently redeemable at the option of the company in whole or in part beginning Oct. 1, 1992, at a redemption price level of 102.25 percent which declines to a 100 percent price beginning Oct. 1, 1993.
