CACI COMPLETES ACQUISITION OF SOFTECH, INC.'S GOVERNMENT SYSTEMS BUSINESS

 ARLINGTON, Va., Dec. 2 /PRNewswire/ -- CACI International Inc (NASDAQ-NMS: CACI) announced today that it had completed its acquisition of the government systems business of SofTech, Inc. CACI had previously announced the signing of a Letter of Intent to acquire the business on Oct. 13, 1993. The cash paid at closing was $3.3 million, plus approximately $900,000, representing the book value of assets acquired (primarily fixed assets).
 The acquisition brings to CACI approximately 210 new employees generating more than $25 million in annual revenue. Principal offices of the new group are located in Dayton, Ohio; Alexandria, Va.; Colorado Springs, Colo.; Latham, Utah; and Waltham, Mass.
 Dr. J.P. (Jack) London, Chairman and CEO of CACI, said, "This deal is a terrific strategic fit and ideal acquisition for CACI. For the current fiscal year ending June 30, 1994, and after closing costs, the deal is expected to contribute approximately $15 million in revenue and $440,000 in net after tax income. Our due diligence has confirmed this group's outstanding reputation for quality performance and client satisfaction in the areas of software reuse, software conversion and migration, embedded tactical software development, and simulation and modeling. We welcome all our new clients and all our new CACI people."
