 BUILDERS WAREHOUSE ASSOCIATION ANNOUNCES MERGER TALKS
 WITH NATIONAL HOME CENTERS
 CONWAY, Ark., Sept. 17 /PRNewswire/ -- Builders Warehouse Association, Inc. ("BWA") today announced that they are in discussions with National Home Centers, Inc. of Springdale, Ark., a privately held company ("National") regarding the feasibility of merging the two companies. Under the preliminary plan, Builders Warehouse Association, Inc. would change its name to National Home Centers with the current business of BWA becoming a division of the new National Home Centers. Under the plan, Mr. Dwain Newman, the current majority shareholder of National would become the president of the new National Home Centers; Mr. Joe McCartney, the current president of BWA would serve as president of the BWA division.
 The merger would give National Home Centers a total of 11 locations, including 5 Builders Warehouse stores, with combined sales in excess of $120 million forecasted for 1992 and pretax earnings in excess of $4 million.
 The merger between the two companies would complement each company's aggressive plans for growth by expanding the scope of their markets. National carries a full line of products and caters to the retail customer whereas BWA targets the professional builder as its customer and offers products and services to meet the professional builder's needs. Both a National Home Center and a Builders Warehouse Association location could operate in the same market, in much the same way as Wal-Mart and Sam's Wholesale Clubs operate. Merging with BWA would give National Home Centers penetration in market not previously experienced.
 Upon consummation of the merger, the company would immediately apply for listing of its stock on the American Stock Exchange.
 Consummation of the merger is subject to the execution of a definitive agreement, the approval of directors and shareholders of the respective companies, if necessary, and representations, warranties, covenants and conditions customarily contained in agreements for similar transactions.
 Builders Warehouse Association, Inc. (formerly OMNI Corporation) is a public company traded on the OTC Bulletin Board under the symbol of BWAI, with outstanding warrants currently scheduled to expire on Sept. 28, 1992. The board of directors has decided to extend the expiration date of the warrants until Oct. 12, 1992 in order to allow warrants holders a reasonable time to make an informed decision as to the exercise of the warrants. There will not be any further extension of the warrants.
