BT SECURITIES CORPORATION ANNOUNCES PRICING OF $105 MILLION SENIOR SUBORDINATED NOTES OFFERING BY TRACOR

 NEW YORK, Aug. 19 /PRNewswire/ -- BT Securities Corporation announced late yesterday the pricing of Tracor Inc.'s $105 million offering of senior subordinated notes due 2001 at par to yield 10-7/8 percent. Interest on the notes is payable semi-annually on each Feb. 15 and Aug. 15, commencing Feb. 15, 1994. BT Securities is the sole underwriter of the offering.
 The net proceeds of the offering from the notes will be used to purchase the common stock of Vitro Corporation. On June 10, 1993, Tracor entered into a stock purchase agreement with The Penn Central Corporation for the acquisition of Vitro, a provider of high-technology systems engineering and integration, software engineering, and technical and management services to the Department of Defense.
 In addition, Bankers Trust is acting as lead agent on a new $78 million bank credit facility which replaces the existing one and provides for working capital.
 The issue is rated single B-2 by Moody's Investors Service Inc. and single B by Standard & Poor's Corp.
