BRITE VOICE SYSTEMS REPORTS SECOND QUARTER RESULTS

WICHITA, Kan., Aug. 11 /PRNewswire/ -- Brite Voice Systems, Inc. (NASDAQ: BVSI) and Perception Technology Corporation, which recently announced the completion of a merger effective July 30, 1993, announced second quarter results for Brite and third quarter results for Perception. Brite reported a net loss of $3,248,000, or $.79 per share, for the second quarter ended June 30, 1993, compared to a net loss of $1,157,000, or $.28 per share, for the same period in 1992. Revenues were $5,509,000, compared to $3,990,000 for the same period in 1992, an increase of 38 percent. For the six month period ending June 30, 1993, revenues were $11,085,000, compared to $8,842,000 in 1992, an increase of 25 percent. The net loss for the six months ended June 30, 1993 was $3,176,000, or $.77 per share, compared to a loss of $1,122,000 or $.27 per share in 1992.
Stan Brannan, president and CEO of Brite, stated, "Our second quarter and six month results were heavily influenced by the costs of our merger with Perception. These costs were $3,738,000 for the quarter, and $3,790,000 for the six months ended June 30, and represent the costs of completing the transaction and estimated costs of integrating the operations of the two companies. Excluding these merger costs, Brite would have shown operating income of $89,000 for the first six months of 1993, compared to an operating loss of $1,654,000 in 1992. The 1992 operating results included a $600,000 restructuring charge, which represented severance costs and the settlement of certain consulting contracts."
Perception Technology Corporation reported a net loss for the third quarter of fiscal 1993, which ended July 3, 1993, of $237,000 or $.07 per share, compared with a net loss of $305,000, or $.09 per share, in 1992. Revenues for the third quarter were $5,638,000, compared to $4,965,000 in 1992. For the three quarters ended July 3, 1993, there was a net loss of $229,000, or $.07 per share, compared to a net loss of $459,000, or $.14 per share, for the same period in 1992. Revenues were $15,542,000 compared to $13,001,000 for the prior year.
Included in the results were $735,000 for the third quarter and $810,000 for the first three quarters in costs related to the merger. The 1992 results included a charge of $250,000 for the estimated costs to relocate a portion of Perception's electronic publishing operations from Oakville, Ontario, to Perception's headquarters in Massachusetts.
Mr. Brannan continued, "We are extremely pleased with Perception's results this quarter. Excluding merger costs, Perception would have had operating income of $467,000 for the quarter ended July 3, making this quarter one of the most profitable in Perception's history. Had the merger been completed at the beginning of the most recently completed quarter, the combined company would have had revenue of $11,147,000 and operating income excluding merger costs of $470,000 compared to pro forma revenue of $8,955,000 and an operating loss of $1,933,000 for the same period in 1992. Although the 1992 results included $850,000 in non-recurring charges, both companies have shown significant progress since last year. We look forward to improving on these results in the coming quarters."
