BRITE VOICE SYSTEMS AND PERCEPTION TECHNOLOGY CORPORATION ANNOUNCE INTENT TO MERGE

 WICHITA, Kan., and CANTON, Mass., March 8 /PRNewswire/ -- Brite Voice Systems, Inc. (NASDAQ: BVSI) and Perception Technology Corporation (NASDAQ: PCEP) jointly announced, today, they have entered into a letter of intent to merge the companies. The transaction will involve the exchange of approximately 3,348,000 shares of Perception common stock for an equal number of common shares of Brite Voice Systems. Brite has approximately 4,100,000 shares outstanding. The transaction is anticipated to be a tax-free exchange for Perception stockholders and is subject to approval of definitive agreements by both boards of directors, filing of required documents with the Securities and Exchange Commission and approval by the stockholders of both companies.
 Leon Ferber, president and CEO of Perception Technology Corporation, stated, "We are extremely pleased to announce this merger. Brite's and Perception's strengths complement each other very well. We believe there are significant synergies between the two companies which will allow us to reduce costs while increasing our market presence in the interactive voice response and electronic information publishing marketplace. I look forward to heading up the Perception division, which will concentrate exclusively on interactive voice response products through both direct and OEM/VAR relationships in the domestic and international markets. Perception has always been a leader in IVR platforms, and we have plans to continue to offer the latest and most powerful IVR and voice platforms."
 The combination of Perception and Brite Voice Systems will result in a company that, on a pro forma basis for fiscal 1992, would have had combined revenues in excess of $35,000,000, stockholders' equity of approximately $30,000,000 and approximately 8,000,000 weighted average shares outstanding.
 Stan Brannan, who will continue as president and CEO of Brite Voice Systems, stated, "Perception Technology is a pioneer in the voice response industry, and has long had a reputation for superior engineering of hardware solutions, with an installed base of more than 2,000 systems. Perception's customer list has a significant number of Fortune 500 companies, including most of the Regional Bell Operating Companies, and excellent OEM/VAR relationships, while Brite has a reputation for superior software applications and customer support. The combination will leverage both companies' strengths and allow us to provide improved service to the customer base of both companies."
 Perception Technology is based in Canton, Mass., with field sales and support offices in a number of geographically dispersed areas of the United States and Canada. Brite Voice Systems is based in Wichita, Kan., with subsidiaries located in Manchester, England; Wiesbaden, Germany; and Rome, Italy.
 Mr. Brannan continued, "Brite has a significant international presence through its subsidiaries in the United Kingdom, Germany, and Italy, as well as its licensees and distributors in other areas of Europe, Scandinavia and the Pacific Rim. We believe there are substantial opportunities to take Perception's products into our international markets."
 Brite Voice Systems and Perception Technology Corporation both design and market voice processing communications systems which allow businesses, government agencies, and other entities to provide information to callers through the use of a touchtone telephone.
 Mr. Ferber added, "The voice response industry is in a period of consolidation, and we believe that this combination makes the most sense for the stockholders of both companies. While our customer bases overlap in only a couple of areas, our marketing strategies and view of the long-term requirements to succeed in the voice response industry are similar. The combined company has the potential for sales and earnings that would not be achieved by either company on a stand alone basis."
 The transaction, if approved, is expected to be completed in late June. In over-the-counter trading on Friday, March 5, Brite closed at $4.75 and Perception closed at $2.75.
