BRIGHTON INFORMATION SYSTEMS CORP., ONE OF THE LARGEST INDEPENDENT
SYSTEMS INTEGRATION COMPANIES IN ASIA, MAKES ANNOUNCEMENTS
Signs Marketing Contract with Cincinnati Bell
 Information Systems International
PARAMUS, N.J., May 18 /PRNewswire/ -- Cincinnati Bell Information Systems International ("CBIS-I") granted Brighton Information Systems Corp. a non-exclusive, non-transferable right to market a list of Licensed Programs, Enhancements and Services provided by "CBIS-I" to Hong Kong and the People's Republic of China. Cincinnati Bell (NYSE: CSN) is an indirect shareholder of Brighton through its participation in the Edelson Technology Partners Venture Fund, Brighton's second-largest shareholder.
The Licensed Programs and Enhancements which Brighton is permitted to market are divided into two different systems. They are as follows:
The COMPTECH Paging System which includes Cellware, COMPU CELLULAR and Macro/Cell cellular systems. These are customer information service systems for telephone operators. The comprehensive service package handles all aspects of a billing system including customer order, installation and physical bill generation.
The ImageBanc and DataBanc Imaging Systems are storage retrieval systems which handle both the storage and retrieval of voluminous data concerning bank checks and other type documentation while eliminating the need for physical storage of these documents. Brighton Information Systems Corp. is one of the leading systems integrators in the Pacific Rim. It designs, builds and delivers turnkey "information technology solutions" to government and commercial clients throughout the Asia Pacific Region.
 Asset Acquisition
Brighton Information Systems Corp. ("BISC"), through its Australian subsidiary, Brighton Information Systems (Australia) Pty Ltd., acquired all of the assets of the Australian operations of Shared Financial Systems Inc. ("SFS").
SFS is a developer of proprietary computer software systems used primarily by financial institutions and major corporations throughout the world. Brighton, through its Hong Kong subsidiary, is a distributor of SFS products elsewhere in the Pacific Rim.
Brighton acquired an assignment of all existing maintenance and support service agreements between SFS and its customers in Australia and New Zealand. Any and all renewals of these contracts (usually annually) will be directly contracted between the customer and Brighton. It is likely that the maintenance and support service agreements and the renewals of those agreements will result in a continued stream of revenue to the company. The company and SFS entered into a distributor agreement dated Oct. 1, 1991, having a term of five years (the "distributor agreement") which agreement was an integral part of the transaction. SFS has also agreed not to compete in the territory for as long as the distributor agreement is in effect. Brighton also acquired certain physical assets (office furniture and equipment) in the transaction.
Under the distributor agreement, the company will sell SFS products and provide maintenance and support services in Australia and New Zealand for the former SFS customers and new customers developed by the company.
Brighton believes that this acquisition gives it a strong foothold which can be the base for expansion of other systems integration services throughout Australia and New Zealand.
Dr. Walter J. Culver Joins Board of Directors
Dr. Walter J. Culver has been appointed to the board of directors of Brighton Information Systems Corp. Culver has participated in providing dozens of mission-critical systems to industry, to the U.S. government and to the governments of Germany and Japan. He is also completing the "Handbook of Systems Integration" for Auerbach Publishers.
