BRENLIN GROUP ANNOUNCES REORGANIZATION

 AKRON, Ohio, April 23 /PRNewswire/ -- The owners of The Brenlin Group -- David L. Brennan, Richard M. Hamlin and James P. McCready - - today announced a business reorganization which will divide ownership of 15 of their 17 companies among them.
 They said they will continue joint ownership of their largest company, Gulf States Steel in Gadsden, Ala., and their only plastics company, Romeo RIM in Romeo, Mich. They will seek a major joint venture partner for Gulf States Steel.
 Detailed planning for the reorganization is already in progress and will determine distribution of the other companies. Companies with related manufacturing activities will likely be grouped.
 The three partners will continue to have substantial joint interests but have decided to take separate paths for future acquisitions and long-term management of their respective companies.
 They explained that the decision to reorganize was made for estate planning purposes.
 "The three of us are good friends and we decided it was prudent to begin thinking in terms of our estates now when we are all healthy and can do it ourselves, rather than burdening our families later," the three longtime partners said. "We want to do the best we can for our families."
 The Brenlin Group began in l975 when Hamlin and Brennan purchased Hamlin Steel Products in Akron, a company founded by Hamlin's father and later sold out of the family. McCready became the third partner when the Group purchased City Machine & Wheel Co. in Stow in l976.
 Over the next 17 years, The Brenlin Group purchased an assortment of manufacturing companies, most of them in the metal producing and forming industries. The Brenlin Group ended l992 with sales of about $700 million and nearly 4,000 employees located at 26 sites in the United States.

 -- Tredit Tire & Wheel Co., Elkhart, IN
 Because The Brenlin Group companies operate in a very decentralized fashion with minimal corporate management, the reorganization is expected to have little impact on the individual operations or employees.
