BOOMTOWN ENTERS INDIAN GAMING IN CALIFORNIA

 RENO, Nev., Sept. 22 /PRNewswire/ -- Boomtown Inc. (NASDAQ: BMTN) signed a letter of intent giving it the option of acquiring for $19 million the management consulting agreement held by Empire Consulting Inc. of Cleveland with the San Manuel Bingo Hall and Casino in California's San Bernardino County.
 Making the announcement was Timothy Parrott, chairman and chief executive officer of the Reno-based gaming company, who stated: "We are excited at the opportunity to participate in this successful Native American gaming operation close to the Los Angeles area.
 "There will be numerous benefits derived by joining forces with Empire and the San Manuel tribe," he continued. "This is the important first step for us to enter the rapidly growing Indian gaming marketplace, consistent with our goal of positioning Boomtown at the hub of strong and sustainable gaming operations."
 The agreement calls for Empire to be paid a base of $19 million of which $9 million will be in cash with the remainder in Boomtown stock. Another incentive gives the principals of Empire the opportunity to earn $6 million worth of additional common shares based upon achieving certain levels of gaming win. Empire's president Edmund Bailys will become head of a newly created Boomtown division specializing in Indian gaming projects.
 Located in Highland, Calif., just outside the city of San Bernardino, the San Manuel Tribe is already operating one of the country's more established Class II operations with a 2,400-seat bingo parlor and a 40,000-square-foot casino (now under construction) scheduled to open in December 1993.
 "The San Manuel Tribe heartily endorses the entry of Boomtown into Native American gaming," said tribe chairperson Norma Manzano. "We're looking forward to working together in Highland and on additional opportunities in the Indian gaming sector."
 Empire has approximately seven years left on its consulting agreement with San Manuel. Completion of its pending contract with Boomtown is subject to a number of conditions including approval by the tribe and state and local government entities.
 Boomtown Inc. operates a western-themed hotel, casino and family entertainment center in Reno and is building a large resort-casino complex in Las Vegas. The company is also developing major gaming projects in Louisiana and Mississippi.
