BFD INDUSTRIES SETTLES ALL ISSUES WITH THE B.C. SECURITIES COMMISSION

 MARKHAM, Ontario, Nov. 29 /PRNewswire/ -- BFD Industries Inc. (OTC Bulletin Board: BFDI) announced today that it signed a settlement agreement with the British Columbia Securities Commission resolving all outstanding issues.
 The agreement relates to a promotional services contract the company entered into during the fall of 1991 as well as the distribution of securities under two private placements in December 1991 and April 1992. Under the terms of this agreement, BFD consented to the following:
 1. BFD will seek professional counsel or take such other steps as may be reasonably necessary to ensure that its future activities are in compliance with applicable securities legislation and policies; and
 2. BFD will pay to the Minister of Finance and Corporate Relations the sum of $25,000; and
 3. BFD waives any right it may have, under the Act or otherwise, to a hearing, hearing and review, judicial review or appeal related to, in connection with or incidental to the agreement.

 BFD Industries Inc. develops, manufactures and markets infection control and wound care products for the medical and dental markets. BFD has facilities in Salt Lake City and Janesville, Wis.
