 BERGEN BRUNSWIG RECEIVES OFFER TO ACQUIRE COMMTRON
 ORANGE, Calif., Feb. 12 /PRNewswire/ -- Bergen Brunswig Corporation


(AMEX: BBC) and Commtron Corporation (AMEX: CMR), Des Moines, Iowa, today announced that they are having discussions with Ingram Entertainment Inc., a division of Ingram Industries, Inc., a privately owned company in Nashville, Tenn., concerning a merger of Commtron with a newly formed, wholly owned subsidiary of Ingram.
 Ingram's offer would result in Commtron shareowners receiving $7.75 per share for each share of Commtron common stock. Bergen Brunswig owns approximately 80 percent of Commtron, its home entertainment distribution subsidiary. Commtron has approximately 10.1 million shares outstanding.
 Robert E. Martini, president and chief executive officer of Bergen Brunswig Corporation, said, "Although many issues remain to be resolved between the parties, Bergen Brunswig and its shareowners would be better served if Bergen Brunswig concentrated exclusively on pharmaceutical distribution which has always been its principal business."
 Martini, who is also president and chief executive officer of Commtron Corporation, stated his belief that the offer is in the best interest of Commtron shareowners and that it would be good for Commtron Corporation since it would provide a strategic alliance with a company dedicated to the growth of the prerecorded videocassette distribution business.
 No assurance can be given that a definitive agreement will be executed or that a transaction will be consummated. Any agreement would require approval not only of the board of directors of Bergen Brunswig but also of the board of directors of Commtron Corporation. Martini also indicated that the board of directors of Commtron would solicit a fairness opinion from an investment banker before recommending approval of the transaction to the Commtron shareowners. Various regulatory approvals would also be required.
 Bergen Brunswig Corporation is one of the nation's largest distributors of prescription pharmaceuticals and other healthcare products and currently the largest national distributor of prerecorded videocassettes.
