BELLSOUTH ENTERPRISES, RAM COMPLETE WIRELESS TRANSACTION
ATLANTA, Aug. 7 /PRNewswire/ -- BellSouth Enterprises (BSE), Inc. and RAM Broadcasting Corporation (RBC) completed the final phase of their previously announced agreement today when RBC transferred its paging properties and its engineering interests to joint ventures established by BSE and RBC.
As part of the agreement, BSE also contributed complementary paging properties to the paging joint venture.
BSE and RBC announced last fall that they would establish and have equal interests in ventures that would include RBC's mobile data operations in the U.S., U.K. and other foreign countries, its paging assets, its engineering and consulting interests and its 49 percent interest in Honolulu Cellular Telephone Company. BSE would contribute complementary paging properties and provide more than $300 million in equity funding to the joint ventures. Earlier this year, the companies consummated the mobile data and cellular telephone portions of the transaction.
"Through this transaction, we have created a vigorous, efficient and experienced paging service provider with an established strong customer base in the key population centers in the Upper Midwest and Great Lakes areas, and in Honolulu," said Earle Mauldin, group president, mobile systems, for BellSouth Enterprises. "BellSouth has a wealth of experience in the paging business, gained primarily from our MobileComm subsidiary, and we'll be applying that expertise to these operations as well."
"The paging operation will demonstrate the same commitment to excellence that the mobile data operations have exhibited," said Carl Robert Aron, CEO of RBC. "Specifically, that means a top-quality network, comprehensive coverage and uncompromising customer service."
The paging organization, a limited partnership called RAM/BSE Paging Co. LP, begins operation with more than 330,000 customers in Chicago, Cleveland, Detroit, Honolulu, Indianapolis, Milwaukee, Pittsburgh and nearby markets. It is headed by Jeff Prough, previously with RBC, and a staff that includes personnel from RBC and MobileComm. It will be headquartered in Woodbridge, N.J.
RBC's engineering and consulting subsidiary, RAM Communications Consultants, Inc., will also be managed by the joint venture.
BellSouth Enterprises manages a group of companies within BellSouth Corporation (NYSE: BLS) that provide wireless telecommunications and advertising and publishing services around the world.
RAM Broadcasting Corporation is a privately owned company with headquarters in New York.
