BB&T HOLDS ANNUAL MEETING IN GREENSBORO -- BOARD DECLARES DIVIDEND

 GREENSBORO, N.C., April 28 /PRNewswire/ -- BB&T Financial Corporation (NASDAQ-NMS: BBTF) held its annual meeting of shareholders today at the Koury Convention Center of the Holiday Inn Four Seasons in Greensboro, N.C. Last year BB&T began to rotate its annual meeting among the major cities of the Carolinas to make it more convenient for BB&T shareholders to attend. The 1992 annual meeting was held in Charlotte.
 John A. Allison, chairman and chief executive officer of BB&T, told the shareholders that BB&T continues to rank in the top quartile in every significant measure of bank performance. Allison said: "We have a strong balance sheet characterized by outstanding loan credit quality and one of the highest capital levels in the banking industry; we have experienced ten consecutive years of record earnings; and, most importantly, we are firmly committed to providing the highest level of quality service to our customers." Allison continued: "We have achieved superior balanced performance for many years because of our commitment to achieving excellence in these areas so critical to long- term success."
 The shareholders approved the election of 27 directors to one-year terms. The shareholders also ratified the selection of KPMG Peat Marwick as independent auditors for 1993.
 In a separate meeting also held on Tuesday, the board of directors declared a regular quarterly dividend of $.25 per share. This represents a 13.6 percent increase over the $.22 per share paid in the second quarter of 1992. The dividend will be paid on June 15 to shareholders of record June 1. Approximately 28.5 million shares of BB&T Financial Corporation common stock are outstanding.
 BB&T is the parent holding company of Branch Banking and Trust Company and Branch Banking and Trust Company of South Carolina. Through its subsidiaries, BB&T operates 229 offices in 122 communities in North and South Carolina. On March 31, the consolidated assets of BB&T totalled $7.2 billion.
