BAXTER TO SELL PACKAGING BUSINESS

 DEERFIELD, Ill., April 22 /PRNewswire/ -- Baxter Healthcare Corp. announced today that it has agreed to sell its Tower Packaging business to Bowater plc, a worldwide packaging and printing company based in London. Under the agreement, Bowater's U.S. subsidiary, Rexham Inc., will acquire the Baxter business and its packaging facility in Mundelein, Ill. In addition, Baxter will enter into a long-term supply agreement with Bowater. Financial details were not disclosed.
 The sale allows Baxter to better focus its resources and management attention on its core medical-products businesses and technologies. The company's Tower Packaging business provides flexible plastic packaging and other plastic-film products, including sterilization pouches, medical-kit bags and adhesive entry mats, to several Baxter divisions and other manufacturing companies. These products are manufactured at the company's 134,000-square-foot facility in Mundelein. The plant is Baxter's only packaging facility; it employs approximately 420 people. Baxter acquired Tower Packaging in 1985 as part of the company's merger with American Hospital Supply Corp.
 Bowater, which had sales of more than $3 billion in 1992, currently supplies packaging products to 15 Baxter manufacturing facilities worldwide.

"In many ways, this transaction is an extension of that relationship. We view it as a long-term partnership, and we will work closely with Bowater to continue to improve quality and manage costs."
