BASELINE PUBLISHING ANNOUNCES SMALL BUSINESS OFFERING Offering Marks One Of The First Small Company Offering (SCOR) Registrations Offered By A Brokerage Firm In The U.S.

 MEMPHIS, Tenn., March 8 /PRNewswire/ -- Baseline Publishing, Inc., a Memphis-based publisher of Macintosh and Windows entertainment, utility and linguistic software, announced today the initial offering of its common stock to private investors.
 The offering will be managed by Sigma Companies, Dallas, Texas in association with the underwriting firm of Cullum & Sandow Securities, Inc., also of Dallas. Baseline is offering 200,000 shares of its common stock at $5.00 per share. Proceeds of the offering will be used primarily for new product development and marketing.
 According to Murray Smith, Senior Partner of Sigma Companies, this offering will be one of the first Small Company Offering Registration (SCOR) registrations offered by a brokerage firm in the United States. The SCOR exemption allows smaller established companies to offer stock directly to the public by registering with state securities regulators without first registering with the U.S. Securities Exchange Commission. Stated Smith, "this process enables small companies to offer shares to potential investors without having to be burdened with the traditional high costs associated with an IPO (initial public offering)."
 Baseline reported sales of $1.465 million for the Fiscal Year ending March 31, 1992.
