ATMOS ENERGY CORPORATION ELECTS DIRECTORS

DALLAS, Feb. 8 /PRNewswire/ -- Three directors of Atmos Energy Corporation (NYSE: ATO) were elected for three-year terms and a fourth was elected for a two-year term at the company's annual meeting of shareholders held today in Dallas, Texas.

All four directors received in excess of 97 percent of the shares voted in person or by proxy. Elected to terms expiring in 1998 were Phillip E. Nichol, senior vice president and branch manager of PaineWebber Inc. in Cleveland, Ohio; Lee E. Schlessman, president of Dolo Investment in Denver, Colo., and former chairman of the board and chief executive officer of Greeley Gas Company; and Charles K. Vaughan, chairman of the board of Atmos Energy Company. Ronald L. Fancher, president and chief executive officer of Atmos, was elected to fill a two-year term.

Atmos shareholders also approved increasing the authorized shares of common stock from 50 million to 75 million with a vote in excess of 84 percent of the total shares outstanding. An Outside Directors Stock- for-Fee Plan, which permits non-employee directors to receive all or part of their fees in stock rather than cash, was approved by 89 percent of the total shares voted in person or by proxy.

Atmos Energy Corporation of Dallas provides natural gas service to over 650,000 customers in Texas, Colorado, Kansas, Missouri, Louisiana, and Kentucky through its operating companies - Energas Company, Greeley Gas Company, Trans Louisiana Gas Company and Western Kentucky Gas Company.
