 AT&T NETWORK SYSTEMS INTERNATIONAL TO ACQUIRE AMPER SHARE IN
 ESPANA JOINT VENTURE
 MADRID, Spain, July 22 /PRNewswire/ -- AT&T (NYSE: T) and Amper jointly announced today the signing of a definitive agreement for the acquisition by AT&T Network Systems International (AT&T-NSI) of the 49 percent share Amper holds in the AT&T Network Systems Espana joint venture. With this agreement, valued at approximately $46 million (4,410 million pesetas), AT&T-NSI brings its stake in its Spanish subsidiary to 100 percent.
 Under this agreement, Amper Servicios, a subsidiary of Amper, will continue to provide installation and maintenance services for the equipment manufactured and sold by AT&T Network Systems Espana. The result of this agreement will not affect AT&T Network Systems Espana's primary focus on quality, reliability and service excellence to the Spanish telecommunications market.

 AT&T Network Systems Espana is a subsidiary of AT&T-NSI. The joint venture company was appointed in 1988 by Telefonica de Espana as a strategic supplier closely involved in the expansion and modernization of the Spanish telecommunications Network. The manufacturing facilities became fully operational in 1990. This agreement will not change that focus.
 "Our partnership with AT&T-NSI in AT&T Network Systems Espana has been a very positive experience in manufacturing, leadership, and management," said Antonio Lopez, chairman of Amper. "The management of Amper reached the difficult decision to sell our 49 percent interest in the joint venture based on our group's current strategy and the company's restructuring plans." He also explained that "we will continue to cooperate with AT&T Network Systems Espana and Amper Servicios to ensure continuity. This agreement benefits both companies."
 AT&T Network Systems Espana, located in Tres Cantos outside Madrid, manufactures 5ESS(R) digital switching systems and transmission equipment for fiber optic communications. The facility also includes a switching and transmission development center initially focused on ISDN products and applications. More than 800 people are employed at this location.
 The AT&T 5ESS switches are already operational in Barcelona, Madrid, Seville, Bilbao, Leon and Valencia; more than 800,000 lines of 5ESS switching will be installed in Spain by the end of 1992. In addition, AT&T provided 5ESS switches and associated equipment to Telefonica for its nationwide intelligent overlay network which provides a full range of advanced telecommunications services, many of which are being used in support of the 1992 Olympics in Barcelona.
 AT&T is fully committed to the Spanish market through AT&T Network Systems Espana and AT&T Microelectronica manufacturing facilities outside Madrid. AT&T Network Systems Espana's international activities have increased over the past two years through exports of transmission equipment to Mexico and switching equipment to Indonesia. AT&T provides communications services, equipment and computer systems to consumers, businesses and communications companies around the world.
